Business Travel Solutions by CWT - General Terms & Conditions
These General Terms and Conditions, (GTCs), shall apply to the provision of the business travel services in the United States as set out in Section A below (Services) by CWT US, LLC
(CWT) to the company which has set up an account with CWT (Client). The GTCs shall operate to the exclusion of all other terms and conditions, and CWT expressly rejects any additional or different terms proposed or attached by Client in any subsequent order, acceptance or similar document. Any alteration to the GTCs shall, unless specifically permitted herein, be invalid unless agreed in writing by way of special terms (Special Terms) executed by a duly authorized signatory of CWT. GTCs shall in such case refer to such GTCs as amended. Acceptance of these GTCs is made by and on the day (Commencement Date) of Client’s acceptance of the GTCs. Client represents and warrants that acceptance of these GTCs is made by an authorized signatory acting on behalf of Client. CWT may update the GTCs from time to time.

A	SERVICES
(1) Services scope: Under the Business Travel Solutions by CWT program, CWT shall provide to Client a commercial reservation service for air, rail, hotel, car rental travel offered by third parties (Travel Suppliers) together with associated ancillary services that it may offer from time to time. Certain of the above services and ancillary services may be provided via third party suppliers under a direct contract between supplier and Client. Other CWT service or product offerings may be available and the terms and conditions for any additional services shall apply upon the completion by CWT of an initial request for such services ordered by Client. Client’s travelers (Travelers) are considered to act on behalf of the Client when ordering additional services and Client shall take responsibility for Traveler’s compliance with these GTCs. As a condition of travel or receipt of services, individual Travelers may also be required to accept CWT’s then-current terms applicable to such Travelers.
Services are offered to the Client only under these GTCs: CWT’s prior written agreement shall be required in the event that Services are to be offered to any affiliated company (Affiliate) of the Client. Client shall, in such circumstances shall guarantee as a principal obligor the making of any payment due by such Affiliate to CWT under these GTCs and otherwise shall procure the compliance of such Affiliate to these GTCs.
(2) Profile Management: CWT shall provide access for the Travelers to update their profiles, including personal data such as nationality, date of birth, passport number, e-mail address, etc. (Profile) via CWT’s online Traveler portal from time to time (CWT Portal) in accordance with Section B of the GTCs. Client and Travelers shall use the CWT profile management tool within CWT Portal (CWT Portrait) to enable CWT to identify and respond to individual booking requests for Travelers. Client shall either provide CWT with an initial data feed of Traveler Profiles during initial implementation (such feed to be in a form and provided within a timeframe reasonably acceptable to CWT), a list of Traveler email addresses to facilitate Traveler self-registration, and/or shall instruct Travelers to have their own profiles completed and up to date in CWT Portrait, in order to enable CWT to provide the Services to Travelers. CWT may contact the Traveler as necessary to create or maintain Profiles or obtain such information to complete a booking, in which case any such information shall be added to the Profile. CWT shall not be required to make a booking where there is insufficient Profile information and shall not be responsible for any errors in the Services arising from failure by Client to comply with this paragraph.
(3) Available Rates: Any quote offered by CWT in response to a Client booking request shall be generated from rates available for the Services in its global distribution system(s) (GDS) and/or proprietary or third party booking facilities (Booking Facilities) with Travel Suppliers and/or from CWT Negotiated Rates (see Section A(4) below). CWT may alter the GDS or Booking Facilities for the Services from time to time in its sole discretion. Rates which have been separately agreed between Travel Suppliers and Client may be made available through the Services by Special Terms agreement. For all sections of these GTCs and for all services, CWT may at any time, including after acceptance or confirmation, correct or revise any fare or rate quoted in error and/or as the result of a typo or other technological failure. Client’s sole and exclusive remedy if Client does not wish to accept the corrected fare is to cancel the order, without liability, within twenty four (24) hours of receipt of notice of the corrected fare or rate.
(4) CWT Negotiated Rates: From time to time, CWT may negotiate preferred fares or rates with Travel Suppliers, which CWT may offer to Travelers. Should CWT offer Client such negotiated fares or rates, they shall be market competitive at the time of ticketing or booking for the applicable routing, class of service or other accommodation being offered.
(5) Ticketing Restrictions & ERM Fares: fares of Travel Suppliers will be issued by CWT as agent for the Travel Suppliers subject to the terms and conditions of such fares (including without limitation the strict eligibility requirements of marine and offshore fares for qualifying Clients, which CWT shall notify Client of via qualification letters the terms of which Client shall meet and comply with in order to take advantage of such fares). In the event that the Client breaches those conditions, Client shall be fully responsible for any fines, charges or agency debit memos imposed on CWT under IATA regulations or their agency agreements with Travel Suppliers.
Client further acknowledges, with respect to the marine and offshore fares offered by CWT that (a) these fares, while not necessarily the lowest fares for the relevant route, offer other benefits such as baggage allowance, change/ cancellation terms and (b) the overall fare charged to the Client may incorporate additional fees or mark-ups to compensate CWT for the additional time and effort associated with filing, booking and ticketing such fares and processing of qualification letters.
B	TOOLS
(1)	CWT IT Tools: For the provision of certain elements of Services, CWT shall grant Client access to certain IT tools, (IT Tools), and warrants that it has the right to provide to the Client access to the IT Tools.
	Client will have a limited, revocable, non-transferable and non-exclusive right during the term of these GTCs to have Travelers and other authorized users (Users) access and use the IT Tools and related documentation solely for Client’s own use, access and enjoyment of the Services. Title and all proprietary and other rights to the IT Tools and any related trademark, trade secret, copyright are, and will remain, the exclusive property of CWT and/or the relevant third party IT Tool providers or licensors.
	Client will use the IT Tools solely for the purposes and functions expressly permitted by these GTCs or CWT’s reasonable instructions from time to time and shall not directly or indirectly, access, use, sell, distribute, sublicense, broadcast, or commercially exploit the IT Tools or any rights granted to it under these GTCs. Client shall not copy, modify, or prepare derivative works based on the IT Tools or reverse engineer, decompile, disassemble, or attempt to derive source code from the IT Tools.
	Except as provided otherwise in these GTCs, CWT makes no warranty, either express or implied, written or oral, with respect to any IT Tools, which are provided “as is”, and CWT expressly disclaims any and all implied warranties of merchantability, fitness for a particular purpose.
	In addition to all other remedies and rights under these GTCs, CWT reserves the right immediately to suspend access to the IT Tools, after notice to Client, in the event of documented evidence of activities by Client contrary to an obligation set forth in these GTCs.
(2)	CWT Links: CWT shall not be held liable for the content, availability, access, accuracy, timeliness or any other aspect of the information contained in any third party website accessible via links on any of the IT Tools. The inclusion in the CWT Portal of information related to or contained in any third party website does not constitute an endorsement by CWT of such information.
(3)	CWT Apps: Any mobile applications provided by CWT and downloaded by Travelers are subject to additional end user and other terms and conditions of use as set out in the relevant application and or app store. Client shall be responsible for complying, or procuring the compliance of Travelers, to such terms.
C	COSTS
(1) Fees, Travel Costs and Taxes: In consideration for the provision of the Services, Client shall pay to CWT a) the applicable fees in relation to the Service(s) notified to Client prior to the Commencement Date (or otherwise the prevailing standard CWT rate for such Services) (Fees); b) any costs (Travel Costs) payable to Travel Suppliers in connection with any Services provided; and/or c) any value added tax, sales, or other local or indirect taxes, surcharges or other similar duties payable on the Fees, the Travel Costs or in connection with the Services. CWT may adjust the Fees from time to time and shall provide Client 30 days’ notice of any such Fee adjustment.
	With respect to any Fees calculated by reference to a transaction, Transaction shall mean, for each Traveler, (i) the issuance or exchange of any air, rail or ferry ticket, any single hotel or car booking regardless of the number of room nights or rental days and/or cancelling an issued ticket at the Traveler’s request and processing a refund request.
(2)	Payment: Unless otherwise agreed in writing by CWT, Client shall pay all amounts payable under these GTCs at the point of sale by company credit card or Traveler individual credit card. Any merchant fees borne on any credit card payments under these GTCs shall be borne at cost by Client. For any amounts not paid by credit card, Client shall pay all invoices received from CWT within thirty (30) days from the date of invoice. Any credit terms agreed to by CWT may be amended or withdrawn by CWT on seven (7) day’s prior written notice.
(3)	Adjustment: CWT shall have the right to increase the Fees annually, by a percentage equivalent previous four quarter percentage increase in the Employment Cost Index for Wages and Salaries of Professional and Busines Services Workers as published by the United States Department of Labor, Bureau of Labor and Statistics (or any official successor thereto). This will ordinarily take place in March of each year.
D	RESPONSIBILITIES
(1)	Disclaimer: CWT shall not be liable for any actions beyond the control of CWT in connection with the Services, or for any injury, loss, damage, delay, non-performance, irregularity, or any consequences therefrom, which may be occasioned through the neglect, or default, or any other act or inaction of any Travel Supplier, including the supplier of any IT Tool. Without prejudice to the foregoing (a) CWT does not warrant or ensure that the travel services booked will actually be provided by any Travel Supplier; and (b) f a Travel Supplier defaults prior to providing any travel service for which payment has been made, Client's sole recourse for refund shall be with the defaulting Travel Supplier or its own insurer.
(2)	Indemnification: Each of the Parties agrees to indemnify and hold the other harmless from and against any third party liability, loss, cost or expense resulting directly from any failure by such Party to perform any obligation hereunder.
(3) 	Liability: The total liability of CWT hereunder in respect of all claims under these GTCs shall be limited to the equivalent of the total Fees paid by Client hereunder in the twelve months following the Commencement Date, except that in no event shall this amount exceed the amount of Fees actually received by CWT at the time the claim arises. Neither of the Parties nor any members of their respective corporate groups (Affiliates) shall be liable for any loss of profit, business, goodwill or revenue or any special, punitive, indirect or consequential loss or damages costs or expenses arising as a result of the performance of these GTCs (Losses), howsoever caused, whether advised that such Losses where forseeable and irrespective of any negligence or fault. CWT is not liable for damages caused criminal acts of third parties. Nothing in this Section D(3) shall exclude any Losses to the extent that such exclusion would be contrary to applicable law or regulation.
E	Duration
(1)	Termination: These GTCs may be terminated on written notice by either Party (a) at any time for convenience by one Party giving not less than ninety (90) days’ written notice to the other (b) if the other Party commits a material or persistent breach of any of the obligations of these GTCs which has not remedied within thirty (30) days of receiving a written notice requiring remedy of such breach; or (c) immediately, if the other Party becomes insolvent, bankrupt, is unable to pay their debts as they fall due has bankruptcy proceedings instituted against it or the Party makes a general assignment for the benefit of creditors or makes a written statement to the effect that the Party is unable to pay its debts as they become due, or a final judgment against such Party remains undischarged for thirty (30) days or longer.
(2)	Consequences: Termination or expiry of these GTCs shall not affect a Party’s accrued rights or obligations as at termination or any obligation which is intended to survive termination, including (without limitation) Sections D to F of these GTCs.
F	Miscellaneous
(1) Assignment: Neither Party shall assign their rights under these GTCs or any part hereof without the prior written consent of the other Party.
(2) Compliance with Laws: The Parties agree to comply with all applicable laws and regulations in performing the GTCs.
(3)	Confidentiality: Each Party shall require its respective officers, directors, employees, agents, advisers and other representatives (and those of its Affiliates) to keep confidential the contents of these GTCs and all information received from the other Party in connection with the contents and the performance of these GTCs, and not to disclose such information to third parties, except as necessary to perform its obligations or exercise its rights hereunder or with the written consent of the other Party or where required by law or court order without the prior written consent of the other Party. Notwithstanding the foregoing, this shall not apply to information that is (i) in the public domain, (ii) lawfully obtained from a third party who is entitled to disclose such information; (iii) independently developed by the other Party without reference to such information; or (iv) anonymized or aggregated.
(4)	Data Protection: With regard to the provision, storage, processing and transfer of the Travelers’ personal data, the Parties shall comply with all applicable laws and regulations relating to data privacy and shall provide, store, process and transfer Travelers’ personal data only for the purpose of the agreed Services using appropriate operational and technical measures intended to safeguard protected data against any unauthorized access, loss, destruction, theft, use or disclosure. The Client shall obtain, where necessary, legally sufficient consents from the Travelers with regard to Section A(2), in particular for any transfer of Traveler’s personal data to third parties for additional purposes at Client’s specific request. Client covenants, represents and warrants that for all such personal data provided by Client or Travelers to CWT, that CWT is authorized and permitted to use and share such information for the purpose of providing requested services, communicating with Client and/or Travelers (including communications for marketing purposes sent by email or displayed within CWT Portal), operating CWT’s business, protecting CWT’s rights and interests and those of third parties, and complying with applicable law including complying with requests from law enforcement or other government officials.
(5) Disclosure: When negotiating with Travel Suppliers, CWT may state that it is Client’s travel management company or use Client’s logo and/trademark supplied by Client. CWT may state in its announcements and presentation materials the fact that it is Client’s travel management company and use Client’s logo and/or trademark for this limited purpose. CWT will not modify the logo and/or trademark supplied by Client. The Parties shall mutually agree on the content of any press release specific to its relationship with Client.
(6) Force Majeure: Neither Party shall be held liable for any delay or failure to perform its obligations hereunder caused by circumstances beyond its reasonable control including, without limitation, strikes, fires, acts of God, any form of government intervention, including business restrictions and prohibitions under territorial or extraterritorial economic or trade sanctions whether determined by national or foreign governments or international institutions. If legally permitted, the performance of such obligations shall be suspended only for such time as such circumstances last. In the event of an immediate and total ban on the continuation of the business relationship, the obligations under these GTCs will expire immediately, completely and permanently without any prior notice.
(7) Independent Parties: Nothing in these GTCs shall create a partnership or joint venture between the Parties and neither Party shall have any authority to enter into any binding commitment, representation of covenant on behalf of the other Party.
(8) Notices: All notices to be given hereunder shall be in writing and shall be deemed to be given when mailed by certified or registered mail, or personal delivery or by facsimile if confirmed by registered airmail thereafter, to their registered office or such other address of the Party as shall be notified to the other in writing
(9) Substituting clauses: If any provision of these GTCs are held to be or becomes invalid or unenforceable (in whole or in part), such provision shall be ineffective to the extent of such invalidity or unenforceability without rendering unenforceable any of the remaining provisions of these GTCs. The Parties shall use their reasonable efforts to agree on a mutually satisfactory substitute for such invalid or unenforceable provision, which shall most closely achieve the purpose of the invalid or unenforceable provision.
(10) Waiver: A waiver of any right or remedy available to a Party in connection with these GTCs (Remedy) is only effective if in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising a Remedy shall constitute a waiver of that or any other Remedy, nor shall a single or partial exercise of a Remedy prevent any further exercise of that or any other Remedy.
(11) Entire Agreement. These GTCs, together with any documents or agreements expressly referenced in these GTCs, constitutes the entire agreement of the parties with respect to the Services and supersedes any prior discussions, representations, agreements or arrangements in relation to the subject matter of these GTCs. Nothing in this Section shall seek to restrict a Party’s remedies with respect to fraud.
(12) Third Party Rights. Save as expressly set out in these GTCs, a party who is not a party to this Agreement shall have no rights to enforce any of its terms.
(13) Governing Law and Jurisdiction: These GTCs shall be governed by New York law and any disputes or proceedings under these GTCs shall be subject to the exclusive jurisdiction of the courts of New York.
(14) 	Miscellaneous: The display of flight or other travel information may be determined by reasons including, without limitation, corporate negotiated rates, identity of a carrier or other travel supplier, history of known Traveler preferences, and other factors, so long as available flights or content comply with Client’s written travel policy pursuant to these GTCs.

Any alteration to the GTCs shall, unless specifically permitted herein, be invalid unless agreed in writing by way of special terms (Special Terms) executed by a duly authorized signatory of CWT. GTCs shall in such case refer to such GTCs as amended. Acceptance of these GTCs is made by and on the day (Commencement Date) of Client’s acceptance of the GTCs. Client represents and warrants that acceptance of these GTCs is made by an authorized signatory acting on behalf of Client. CWT may update the GTCs from time to time.

Other CWT service or product offerings may be available and the terms and conditions for any additional services shall apply upon the completion by CWT of an initial request for such services ordered by Client. Client’s travelers (Travelers) are considered to act on behalf of the Client when ordering additional services and Client shall take responsibility for Traveler’s compliance with these GTCs. As a condition of travel or receipt of services, individual Travelers may also be required to accept CWT’s then-current terms applicable to such Travelers.
Services are offered to the Client only under these GTCs: CWT’s prior written agreement shall be required in the event that Services are to be offered to any affiliated company (Affiliate) of the Client. Client shall, in such circumstances shall guarantee as a principal obligor the making of any payment due by such Affiliate to CWT under these GTCs and otherwise shall procure the compliance of such Affiliate to these GTCs.
(2) Profile Management: CWT shall provide access for the Travelers to update their profiles, including personal data such as nationality, date of birth, passport number, e-mail address, etc. (Profile) via CWT’s online Traveler portal from time to time (CWT Portal) in accordance with Section B of the GTCs. Client and Travelers shall use the CWT profile management tool within CWT Portal (CWT Portrait) to enable CWT to identify and respond to individual booking requests for Travelers. Client shall either provide CWT with an initial data feed of Traveler Profiles during initial implementation (such feed to be in a form and provided within a timeframe reasonably acceptable to CWT), a list of Traveler email addresses to facilitate Traveler self-registration, and/or shall instruct Travelers to have their own profiles completed and up to date in CWT Portrait, in order to enable CWT to provide the Services to Travelers. CWT may contact the Traveler as necessary to create or maintain Profiles or obtain such information to complete a booking, in which case any such information shall be added to the Profile. CWT shall not be required to make a booking where there is insufficient Profile information and shall not be responsible for any errors in the Services arising from failure by Client to comply with this paragraph.
(3) Available Rates: Any quote offered by CWT in response to a Client booking request shall be generated from rates available for the Services in its global distribution system(s) (GDS) and/or proprietary or third party booking facilities (Booking Facilities) with Travel Suppliers and/or from CWT Negotiated Rates (see Section A(4) below). Client’s sole and exclusive remedy if Client does not wish to accept the corrected fare is to cancel the order, without liability, within twenty four (24) hours of receipt of notice of the corrected fare or rate.
(4) CWT Negotiated Rates: From time to time, CWT may negotiate preferred fares or rates with Travel Suppliers, which CWT may offer to Travelers. Should CWT offer Client such negotiated fares or rates, they shall be market competitive at the time of ticketing or booking for the applicable routing, class of service or other accommodation being offered.
(5) Ticketing Restrictions & ERM Fares: fares of Travel Suppliers will be issued by CWT as agent for the Travel Suppliers subject to the terms and conditions of such fares (including without limitation the strict eligibility requirements of marine and offshore fares for qualifying Clients, which CWT shall notify Client of via qualification letters the terms of which Client shall meet and comply with in order to take advantage of such fares). In the event that the Client breaches those conditions, Client shall be fully responsible for any fines, charges or agency debit memos imposed on CWT under IATA regulations or their agency agreements with Travel Suppliers.
Client further acknowledges, with respect to the marine and offshore fares offered by CWT that (a) these fares, while not necessarily the lowest fares for the relevant route, offer other benefits such as baggage allowance, change/ cancellation terms and (b) the overall fare charged to the Client may incorporate additional fees or mark-ups to compensate CWT for the additional time and effort associated with filing, booking and ticketing such fares and processing of qualification letters.
B	TOOLS
(1)	CWT IT Tools: For the provision of certain elements of Services, CWT shall grant Client access to certain IT tools, (IT Tools), and warrants that it has the right to provide to the Client access to the IT Tools.
	Client will have a limited, revocable, non-transferable and non-exclusive right during the term of these GTCs to have Travelers and other authorized users (Users) access and use the IT Tools and related documentation solely for Client’s own use, access and enjoyment of the Services. Title and all proprietary and other rights to the IT Tools and any related trademark, trade secret, copyright are, and will remain, the exclusive property of CWT and/or the relevant third party IT Tool providers or licensors.
	Client will use the IT Tools solely for the purposes and functions expressly permitted by these GTCs or CWT’s reasonable instructions from time to time and shall not directly or indirectly, access, use, sell, distribute, sublicense, broadcast, or commercially exploit the IT Tools or any rights granted to it under these GTCs. Client shall not copy, modify, or prepare derivative works based on the IT Tools or reverse engineer, decompile, disassemble, or attempt to derive source code from the IT Tools.
	Except as provided otherwise in these GTCs, CWT makes no warranty, either express or implied, written or oral, with respect to any IT Tools, which are provided “as is”, and CWT expressly disclaims any and all implied warranties of merchantability, fitness for a particular purpose.
	In addition to all other remedies and rights under these GTCs, CWT reserves the right immediately to suspend access to the IT Tools, after notice to Client, in the event of documented evidence of activities by Client contrary to an obligation set forth in these GTCs.
(2)	CWT Links: CWT shall not be held liable for the content, availability, access, accuracy, timeliness or any other aspect of the information contained in any third party website accessible via links on any of the IT Tools. The inclusion in the CWT Portal of information related to or contained in any third party website does not constitute an endorsement by CWT of such information.
(3)	CWT Apps: Any mobile applications provided by CWT and downloaded by Travelers are subject to additional end user and other terms and conditions of use as set out in the relevant application and or app store. Client shall be responsible for complying, or procuring the compliance of Travelers, to such terms.
C	COSTS
(1) Fees, Travel Costs and Taxes: In consideration for the provision of the Services, Client shall pay to CWT a) the applicable fees in relation to the Service(s) notified to Client prior to the Commencement Date (or otherwise the prevailing standard CWT rate for such Services) (Fees); b) any costs (Travel Costs) payable to Travel Suppliers in connection with any Services provided; and/or c) any value added tax, sales, or other local or indirect taxes, surcharges or other similar duties payable on the Fees, the Travel Costs or in connection with the Services. CWT may adjust the Fees from time to time and shall provide Client 30 days’ notice of any such Fee adjustment.
	With respect to any Fees calculated by reference to a transaction, Transaction shall mean, for each Traveler, (i) the issuance or exchange of any air, rail or ferry ticket, any single hotel or car booking regardless of the number of room nights or rental days and/or cancelling an issued ticket at the Traveler’s request and processing a refund request.
(2)	Payment: Unless otherwise agreed in writing by CWT, Client shall pay all amounts payable under these GTCs at the point of sale by company credit card or Traveler individual credit card. Any merchant fees borne on any credit card payments under these GTCs shall be borne at cost by Client. For any amounts not paid by credit card, Client shall pay all invoices received from CWT within thirty (30) days from the date of invoice. Any credit terms agreed to by CWT may be amended or withdrawn by CWT on seven (7) day’s prior written notice.
(3)	Adjustment: CWT shall have the right to increase the Fees annually, by a percentage equivalent previous four quarter percentage increase in the Employment Cost Index for Wages and Salaries of Professional and Busines Services Workers as published by the United States Department of Labor, Bureau of Labor and Statistics (or any official successor thereto). This will ordinarily take place in March of each year.
D	RESPONSIBILITIES
(1)	Disclaimer: CWT shall not be liable for any actions beyond the control of CWT in connection with the Services, or for any injury, loss, damage, delay, non-performance, irregularity, or any consequences therefrom, which may be occasioned through the neglect, or default, or any other act or inaction of any Travel Supplier, including the supplier of any IT Tool. Without prejudice to the foregoing (a) CWT does not warrant or ensure that the travel services booked will actually be provided by any Travel Supplier; and (b) f a Travel Supplier defaults prior to providing any travel service for which payment has been made, Client's sole recourse for refund shall be with the defaulting Travel Supplier or its own insurer.
(2)	Indemnification: Each of the Parties agrees to indemnify and hold the other harmless from and against any third party liability, loss, cost or expense resulting directly from any failure by such Party to perform any obligation hereunder.
(3) 	Liability: The total liability of CWT hereunder in respect of all claims under these GTCs shall be limited to the equivalent of the total Fees paid by Client hereunder in the twelve months following the Commencement Date, except that in no event shall this amount exceed the amount of Fees actually received by CWT at the time the claim arises. Neither of the Parties nor any members of their respective corporate groups (Affiliates) shall be liable for any loss of profit, business, goodwill or revenue or any special, punitive, indirect or consequential loss or damages costs or expenses arising as a result of the performance of these GTCs (Losses), howsoever caused, whether advised that such Losses where forseeable and irrespective of any negligence or fault. CWT is not liable for damages caused criminal acts of third parties. Nothing in this Section D(3) shall exclude any Losses to the extent that such exclusion would be contrary to applicable law or regulation.
E	Duration
(1)	Termination: These GTCs may be terminated on written notice by either Party (a) at any time for convenience by one Party giving not less than ninety (90) days’ written notice to the other (b) if the other Party commits a material or persistent breach of any of the obligations of these GTCs which has not remedied within thirty (30) days of receiving a written notice requiring remedy of such breach; or (c) immediately, if the other Party becomes insolvent, bankrupt, is unable to pay their debts as they fall due has bankruptcy proceedings instituted against it or the Party makes a general assignment for the benefit of creditors or makes a written statement to the effect that the Party is unable to pay its debts as they become due, or a final judgment against such Party remains undischarged for thirty (30) days or longer.
(2)	Consequences: Termination or expiry of these GTCs shall not affect a Party’s accrued rights or obligations as at termination or any obligation which is intended to survive termination, including (without limitation) Sections D to F of these GTCs.
F	Miscellaneous
(1) Assignment: Neither Party shall assign their rights under these GTCs or any part hereof without the prior written consent of the other Party.
(2) Compliance with Laws: The Parties agree to comply with all applicable laws and regulations in performing the GTCs.
(3)	Confidentiality: Each Party shall require its respective officers, directors, employees, agents, advisers and other representatives (and those of its Affiliates) to keep confidential the contents of these GTCs and all information received from the other Party in connection with the contents and the performance of these GTCs, and not to disclose such information to third parties, except as necessary to perform its obligations or exercise its rights hereunder or with the written consent of the other Party or where required by law or court order without the prior written consent of the other Party. Notwithstanding the foregoing, this shall not apply to information that is (i) in the public domain, (ii) lawfully obtained from a third party who is entitled to disclose such information; (iii) independently developed by the other Party without reference to such information; or (iv) anonymized or aggregated.
(4)	Data Protection: With regard to the provision, storage, processing and transfer of the Travelers’ personal data, the Parties shall comply with all applicable laws and regulations relating to data privacy and shall provide, store, process and transfer Travelers’ personal data only for the purpose of the agreed Services using appropriate operational and technical measures intended to safeguard protected data against any unauthorized access, loss, destruction, theft, use or disclosure. The Client shall obtain, where necessary, legally sufficient consents from the Travelers with regard to Section A(2), in particular for any transfer of Traveler’s personal data to third parties for additional purposes at Client’s specific request. Client covenants, represents and warrants that for all such personal data provided by Client or Travelers to CWT, that CWT is authorized and permitted to use and share such information for the purpose of providing requested services, communicating with Client and/or Travelers (including communications for marketing purposes sent by email or displayed within CWT Portal), operating CWT’s business, protecting CWT’s rights and interests and those of third parties, and complying with applicable law including complying with requests from law enforcement or other government officials.
(5) Disclosure: When negotiating with Travel Suppliers, CWT may state that it is Client’s travel management company or use Client’s logo and/trademark supplied by Client. CWT may state in its announcements and presentation materials the fact that it is Client’s travel management company and use Client’s logo and/or trademark for this limited purpose. CWT will not modify the logo and/or trademark supplied by Client. The Parties shall mutually agree on the content of any press release specific to its relationship with Client.
(6) Force Majeure: Neither Party shall be held liable for any delay or failure to perform its obligations hereunder caused by circumstances beyond its reasonable control including, without limitation, strikes, fires, acts of God, any form of government intervention, including business restrictions and prohibitions under territorial or extraterritorial economic or trade sanctions whether determined by national or foreign governments or international institutions. If legally permitted, the performance of such obligations shall be suspended only for such time as such circumstances last. In the event of an immediate and total ban on the continuation of the business relationship, the obligations under these GTCs will expire immediately, completely and permanently without any prior notice.
(7) Independent Parties: Nothing in these GTCs shall create a partnership or joint venture between the Parties and neither Party shall have any authority to enter into any binding commitment, representation of covenant on behalf of the other Party.
(8) Notices: All notices to be given hereunder shall be in writing and shall be deemed to be given when mailed by certified or registered mail, or personal delivery or by facsimile if confirmed by registered airmail thereafter, to their registered office or such other address of the Party as shall be notified to the other in writing
(9) Substituting clauses: If any provision of these GTCs are held to be or becomes invalid or unenforceable (in whole or in part), such provision shall be ineffective to the extent of such invalidity or unenforceability without rendering unenforceable any of the remaining provisions of these GTCs. The Parties shall use their reasonable efforts to agree on a mutually satisfactory substitute for such invalid or unenforceable provision, which shall most closely achieve the purpose of the invalid or unenforceable provision.
(10) Waiver: A waiver of any right or remedy available to a Party in connection with these GTCs (Remedy) is only effective if in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising a Remedy shall constitute a waiver of that or any other Remedy, nor shall a single or partial exercise of a Remedy prevent any further exercise of that or any other Remedy.
(11) Entire Agreement. These GTCs, together with any documents or agreements expressly referenced in these GTCs, constitutes the entire agreement of the parties with respect to the Services and supersedes any prior discussions, representations, agreements or arrangements in relation to the subject matter of these GTCs. Nothing in this Section shall seek to restrict a Party’s remedies with respect to fraud.
(12) Third Party Rights. Save as expressly set out in these GTCs, a party who is not a party to this Agreement shall have no rights to enforce any of its terms.
(13) Governing Law and Jurisdiction: These GTCs shall be governed by New York law and any disputes or proceedings under these GTCs shall be subject to the exclusive jurisdiction of the courts of New York.
(14) 	Miscellaneous: The display of flight or other travel information may be determined by reasons including, without limitation, corporate negotiated rates, identity of a carrier or other travel supplier, history of known Traveler preferences, and other factors, so long as available flights or content comply with Client’s written travel policy pursuant to these GTCs.

Business Travel Solutions by CWT - General Terms & Conditions
These General Terms and Conditions, (GTCs), shall apply to the provision of the business travel services in the United States as set out in Section A below (Services) by Carlson Wagonlit Travel, Inc. (CWT) to the company which has set up an account with CWT (Client). The GTCs shall operate to the exclusion of all other terms and conditions, and CWT expressly rejects any additional or different terms proposed or attached by Client in any subsequent order, acceptance or similar document. Any alteration to the GTCs shall, unless specifically permitted herein, be invalid unless agreed in writing by way of special terms (Special Terms) executed by a duly authorized signatory of CWT. GTCs shall in such case refer to such GTCs as amended. Acceptance of these GTCs is made by and on the day (Commencement Date) of Client’s acceptance of the GTCs. CWT may update the GTCs from time to time.
A. SERVICES
- Services scope: Under the Business Travel Solutions by CWT program, CWT shall provide to Client a commercial reservation service for air, rail, hotel, car rental travel offered by third parties (Travel Suppliers) together with associated ancillary services that it may offer from time to time. Certain of the above services and ancillary services may be provided via third party suppliers under a direct contract between supplier and Client. Other CWT service or product offerings may be available and the terms and conditions for any additional services shall apply upon the completion by CWT of an initial request for such services ordered by Client. Client’s travelers (Travelers) are considered to act on behalf of the Client when ordering additional services and Client shall take responsibility for Traveler’s compliance with these GTCs. As a condition of travel or receipt of services, individual Travelers may also be required to accept CWT’s then-current terms applicable to such Travelers.
Services are offered to the Client only under these GTCs: CWT’s prior written agreement shall be required in the event that Services are to be offered to any affiliated company (Affiliate) of the Client. Client shall, in such circumstances shall guarantee as a principal obligor the making of any payment due by such Affiliate to CWT under these GTCs and otherwise shall procure the compliance of such Affiliate to these GTCs. - Profile Management: CWT shall provide access for the Travelers to update their profiles, including personal data such as nationality, date of birth, passport number, e-mail address, etc. (Profile) via CWT’s online Traveler portal from time to time (CWT Portal) in accordance with Section B of the GTCs. Client and Travelers shall use the CWT profile management tool within CWT Portal (CWT Portrait) to enable CWT to identify and respond to individual booking requests for Travelers. Client shall either provide CWT with an initial data feed of Traveler Profiles during initial implementation (such feed to be in a form and provided within a timeframe reasonably acceptable to CWT), a list of Traveler email addresses to facilitate Traveler self-registration, and/or shall instruct Travelers to have their own profiles completed and up to date in CWT Portrait, in order to enable CWT to provide the Services to Travelers. CWT may contact the Traveler as necessary to create or maintain Profiles or obtain such information to complete a booking, in which case any such information shall be added to the Profile. CWT shall not be required to make a booking where there is insufficient Profile information and shall not be responsible for any errors in the Services arising from failure by Client to comply with this paragraph.
- Available Rates: Any quote offered by CWT in response to a Client booking request shall be generated from rates available for the Services in its global distribution system(s) (GDS) and/or proprietary or third party booking facilities (Booking Facilities) with Travel Suppliers and/or from CWT Negotiated Rates (see Section A(4) below). CWT may alter the GDS or Booking Facilities for the Services from time to time in its sole discretion. Rates which have been separately agreed between Travel Suppliers and Client may be made available through the Services by Special Terms agreement. For all sections of these GTCs and for all services, CWT may at any time, including after acceptance or confirmation, correct or revise any fare or rate quoted in error and/or as the result of a typo or other technological failure. Client’s sole and exclusive remedy if Client does not wish to accept the corrected fare is to cancel the order, without liability, within twenty four (24) hours of receipt of notice of the corrected fare or rate.
- CWT Negotiated Rates: From time to time, CWT may negotiate preferred fares or rates with Travel Suppliers, which CWT may offer to Travelers. Should CWT offer Client such negotiated fares or rates, they shall be market competitive at the time of ticketing or booking for the applicable routing, class of service or other accommodation being offered.
- Ticketing Restrictions & ERM Fares: fares of Travel Suppliers will be issued by CWT as agent for the Travel Suppliers subject to the terms and conditions of such fares (including without limitation the strict eligibility requirements of marine and offshore fares for qualifying Clients, which CWT shall notify Client of via qualification letters the terms of which Client shall meet and comply with in order to take advantage of such fares). In the event that the Client breaches those conditions, Client shall be fully responsible for any fines, charges or agency debit memos imposed on CWT under IATA regulations or their agency agreements with Travel Suppliers.
Client further acknowledges, with respect to the marine and offshore fares offered by CWT that (a) these fares, while not necessarily the lowest fares for the relevant route, offer other benefits such as baggage allowance, change/ cancellation terms and (b) the overall fare charged to the Client may incorporate additional fees or mark-ups to compensate CWT for the additional time and effort associated with filing, booking and ticketing such fares and processing of qualification letters.
B. TOOLS
- CWT IT Tools: For the provision of certain elements of Services, CWT shall grant Client access to certain IT tools, (IT Tools), and warrants that it has the right to provide to the Client access to the IT Tools.
Client will have a limited, revocable, non-transferable and non-exclusive right during the term of these GTCs to have Travelers and other authorized users (Users) access and use the IT Tools and related documentation solely for Client’s own use, access and enjoyment of the Services. Title and all proprietary and other rights to the IT Tools and any related trademark, trade secret, copyright are, and will remain, the exclusive property of CWT and/or the relevant third party IT Tool providers or licensors.
Client will use the IT Tools solely for the purposes and functions expressly permitted by these GTCs or CWT’s reasonable instructions from time to time and shall not directly or indirectly, access, use, sell, distribute, sublicense, broadcast, or commercially exploit the IT Tools or any rights granted to it under these GTCs. Client shall not copy, modify, or prepare derivative works based on the IT Tools or reverse engineer, decompile, disassemble, or attempt to derive source code from the IT Tools.
Except as provided otherwise in these GTCs, CWT makes no warranty, either express or implied, written or oral, with respect to any IT Tools, which are provided “as is”, and CWT expressly disclaims any and all implied warranties of merchantability, fitness for a particular purpose.
In addition to all other remedies and rights under these GTCs, CWT reserves the right immediately to suspend access to the IT Tools, after notice to Client, in the event of documented evidence of activities by Client contrary to an obligation set forth in these GTCs. - CWT Links: CWT shall not be held liable for the content, availability, access, accuracy, timeliness or any other aspect of the information contained in any third party website accessible via links on any of the IT Tools. The inclusion in the CWT Portal of information related to or contained in any third party website does not constitute an endorsement by CWT of such information.
- CWT Apps: Any mobile applications provided by CWT and downloaded by Travelers are subject to additional end user and other terms and conditions of use as set out in the relevant application and or app store. Client shall be responsible for complying, or procuring the compliance of Travelers, to such terms.
C. COSTS
- Fees, Travel Costs and Taxes: In consideration for the provision of the Services, Client shall pay to CWT a) the applicable fees in relation to the Service(s) notified to Client prior to the Commencement Date (or otherwise the prevailing standard CWT rate for such Services) (Fees); b) any costs (Travel Costs) payable to Travel Suppliers in connection with any Services provided; and/or c) any value added tax, sales, or other local or indirect taxes, surcharges or other similar duties payable on the Fees, the Travel Costs or in connection with the Services. CWT may adjust the Fees from time to time and shall provide Client 30 days’ notice of any such Fee adjustment.

CWT Global B.V., with its registered address at Oval Tower, De Entree 159, 1101 HE, Amsterdam, Netherlands, acting for itself and on behalf of its Affiliates (as defined below) (“CWT”), and the other party identified below acting for itself and on behalf of its Affiliates (“Contracting Party”). CWT and Contracting Party, collectively the “parties”, intend to enter into discussions to evaluate and possibly enter into, without obligation, a potential business transaction (“Purpose”). Each party to this agreement wishes to disclose to the other party Confidential Information (as defined below) in relation to the Purpose. “Affiliates” means any company or other legal entity which directly or indirectly: (i) controls a party; or (ii) is controlled by a party; or (iii) controlled by a company or entity which directly or indirectly controls a party. For these purposes, “control” means the right to exercise more than fifty percent (50%) of the voting or similar right of ownership; but only for so long as such control shall continue to exist and with respect to CWT, the term “Affiliate” shall include CWT’s independent partners and joint ventures in the countries where CWT does not have its own wholly-owned operations.
The parties agree as follows:
- This agreement shall commence on the date this agreement is accepted by the Contracting Party. Either party or any third party for or on its behalf (“Discloser”) may disclose to the other party or its Representatives (as defined below), (“Recipient”) Confidential Information of either party or any of its Affiliates relating to the Purpose. “Confidential Information” means information (whether oral, written or computer-recorded form) which the Discloser considers under its applicable polices or normal business practices to be confidential or is marked ‘confidential’ or is provided in circumstances in which a reasonable expectation of confidentiality exists. This shall include but is not limited to information relating to business, marketing or product plans, business operations, clients, customers, employees, proprietary software, databases, algorithms, formulae, inventions, computer programmes, including code (in whole or part), analysis and research projects, technologies, structures and architectures, security intellectual property, contracts, sales figures, commercial proposals, pricing lists or policies, financial information and reports.
- Recipient agrees to use the same degree of care exercised with respect to its own Confidential Information of the same nature and sensitivity to protect the Confidential Information provided by the Discloser and shall prevent any unauthorized use or disclosure, but shall use no less than a reasonable standard of care.
- Recipient may use Confidential Information only for the Purpose. Recipient may share Confidential Information with its officers, directors, employees, agents, contractors/consultants, advisers and Affiliates (“Representatives”). Recipient must inform their Representatives that they are obligated to protect the Discloser’s Confidential Information in a manner consistent with this agreement. In any event, the Recipient shall remain liable for any disclosure by its Representatives to any third party.
- This agreement shall not apply to the extent that the Confidential Information: (a) is publicly available through no wrongful act or omissions of Recipient (b) was known to Recipient prior to disclosure from Discloser; (c) received from a third party having the right to disclose such information; or (d) is independently developed by Recipient without reference to Confidential Information. A Recipient may disclose Confidential Information when compelled to do so by applicable law, order of court, agency or government authority of competent jurisdiction provided it provides prior notice to the Discloser, unless a court orders that the Discloser not be given notice prior notice.
- This agreement shall remain in place for a period of 3 years until or unless terminated earlier by either party. Either party may terminate this agreement with 14 calendar days prior written notice. Confidential Information shared pursuant to this agreement shall remain confidential for a period of 5 years from the date of disclosure of that information.
- Each party agrees that the disclosure of any and all Confidential Information is solely for the Purpose, that neither party will be obliged to enter into any further agreement and that any negotiations towards a further agreement shall be subject to contract.
- Upon request of the Discloser, the Recipient shall return or destroy all Confidential Information except where the Recipient is required by law to retain such Confidential Information for its records.
- Neither party transfers or acquires any intellectual property rights under this agreement.
- This agreement does not create any agency or partnership relationship. This agreement, nor any right or obligation hereunder or interest herein may not be assigned, transferred or delegated without the prior written consent of the other party, save to an Affiliate, following a merger, consolidation or other internal reorganization.
- Failure to enforce any of provisions of this agreement will not constitute a waiver.
- If the parties enter into subsequent agreements relating to the Purpose containing provisions that conflict with the terms of this agreement, the terms of the subsequent agreements shall prevail.
- This Agreement shall be exclusively governed by the laws of England and Wales if the Contracting Party’s registered office is located in the Europe, Middle East, or Africa region; or Singapore if the Contracting Party’s registered office is located in the Asia Pacific region; or the State of New York, USA if the Contracting party’s registered office is located in the Americas region. All related disputes shall be resolved exclusively under the corresponding country of the applicable law.
- The Recipient acknowledges that the Confidential Information has been developed by the Discloser with substantial effort and cost and, therefore, has value to the Discloser; and that breach of any of provisions of this agreement could cause the Discloser irreparable injury for which no adequate remedy at law exists. Accordingly, the Discloser shall have the right, in addition to any other rights it may have and, by executing this agreement, the Recipient hereby consents, to the entry in any court having jurisdiction of a temporary or permanent restraining order or injunction restraining or enjoining the Recipient from any violation of this agreement.
14.	With the exception of the rights of any Affiliates, to enforce the benefits conferred by this agreement as well as the successors and assigns of each party, no term of this agreement is enforceable by a third party who is not a party to this agreement.
15.	All notices shall be in writing and shall be deemed to be given when mailed by certified or registered mail, or personal delivery or by facsimile if confirmed by registered airmail thereafter, to the address of the above CWT contracting entity listed at https://www.mycwt.com/legal/notices/ or to the address of the Contracting Party specified on the first page of this Agreement unless either party shall specify to the other party a different address for the giving of such notice.

CWT Global B.V., acting for itself and on behalf of its Affiliates (as defined below) (“CWT”), and the other party identified below acting for itself and on behalf of its Affiliates (“Contracting Party”). CWT and Contracting Party, collectively the “parties”, intend to enter into discussions to evaluate and possibly enter into, without obligation, a potential business transaction (“Purpose”). Each party to this agreement wishes to disclose to the other party Confidential Information (as defined below) in relation to the Purpose. “Affiliates” means any company or other legal entity which directly or indirectly: (i) controls a party; or (ii) is controlled by a party; or (iii) controlled by a company or entity which directly or indirectly controls a party. For these purposes, “control” means the right to exercise more than fifty percent (50%) of the voting or similar right of ownership; but only for so long as such control shall continue to exist and with respect to CWT, the term “Affiliate” shall include CWT’s independent partners and joint ventures in the countries where CWT does not have its own wholly-owned operations.

ON-SITE SERVICES
TERMS AND CONDITIONS
CWT shall provide onsite travel services (the “Services”) to Client in accordance with the (the “Agreement”) entered into as at and these terms and conditions.
In order to provide the Services, CWT shall locate CWT employees (“Onsite Staff”) on Client’s premises with effect from the date of signature of the agreement for the Services (“Effective Date”).
1. RESPONSIBILITY OF CLIENT
1.1 Premises
With respect to the premises where Onsite Staff will be located, Client shall:
(a) provide the furniture and furnishings necessary to the Onsite, based on the number of Onsite Staff, as well as heating and lighting, office supplies, access to office equipment (e.g., photocopier, fax), telephone lines and telephones for local and international calls, and internet access;
(b) comply with CWT’s instructions for establishing the connection and operation of equipment specific to the Services as provided to Client;
(c) bear all expenses relating to the premises of the Onsite (in particular, electricity, telephone, cleaning, etc.) as well as mailing and courier costs incurred by the Onsite Staff within the scope of the Services; and
(d) maintain insurance policies for the Onsite premises covering fire or water damage, and shall waive, and obtain waiver from its insurance companies of, any recourse against CWT or its employees in the event of fire damage from fire, explosion or water.
1.2 Client shall:
(a) comply with all relevant laws and regulations in dealing with Onsite Staff;
(b) be responsible for the safety and security of Onsite Staff while they are on Client’s premises, and provide Onsite Staff with the same entitlements relating to safety and security as it provides to its own employees and personnel;
(c) provide decent working conditions and the same amenities for Onsite Staff as it provides to its own employees and personnel;
(d) ensure that Onsite Staff work in a positive environment and are treated professionally and with due respect at all times;
(e) promptly forward to CWT a written notification of any workplace incident that may give rise to a claim by, against or involving Onsite Staff; and
(f) provide CWT with any information, documentation, reasonable access to its premises and assistance, including access to or copies of any e-mails or other correspondence sent or received by the Onsite Staff using any of Client’s communication tools, upon CWT’s reasonable request or as necessary for CWT to deal with any issues that are reserved to employers, including but not limited to disciplinary matters, investigations, appraisals, leave, or remuneration, under CWT’s internal procedures, at the request of third parties or before any court or tribunal. Client shall refer any such issues concerning the Onsite Staff to CWT upon becoming aware of them.
(g) allow Onsite Staff to:
- consult with CWT for advice and assistance in the performance of their work;
- during normal business hours, as required by CWT of its employees, attend:
- practice group meetings;
- department conferences;
- training sessions; and
- seminars and social events conducted by CWT
- receive internal CWT correspondence and publications in order to keep up‑to‑date with developments in the industry or CWT’s new practices, tools, products and methodologies; and
- maintain internet access with CWT.
1.3 Client acknowledges that Onsite Staff may refuse to work at Client’s premises if it reasonably appears to them or any representative of CWT that the working environment is or has become unsafe for any reason, including but not limited to Client failing to comply with any relevant health or safety legislation or regulations or other obligation.
1.4 Client shall not provide any incentive or consideration, financial or otherwise, to Onsite Staff without prior written approval from CWT.
2. DIRECTION AND RESPONSIBILITY
2.1 Under no circumstances is CWT acting as a lender of staff, temporary staff agency or a recruitment agency to or for Client, in any way.
2.2 This Agreement shall not be construed to create a relationship of employer and employee between Client and Onsite Staff. Onsite Staff will remain CWT’s employees.
2.3 As CWT employees, Onsite Staff will work under the control and direction of, and be responsible to CWT. CWT shall establish Onsite Staff’s working hours and vacation schedules, and any changes shall be agreed in consultation with Client.
3. CWT EMPLOYEE OBLIGATIONS
3.1 Code of Conduct and Policies
3.1.1 As CWT employees, CWT Onsite Staff shall comply with CWT’s code of conduct and relevant policies during the term of the assignment.
3.1.2 Onsite Staff shall not be compelled to comply with any Client requirements or directions that contradict CWT’s policies and procedures, except for Client’s health and safety policies when Onsite Staff is working on Client’s premises.
4. ABSENCE AND REASSIGNMENT OF ONSITE STAFF
4.1 CWT may replace Onsite Staff at any time during the term of the Agreement by providing reasonable prior notice to and consulting with Client.
4.2 If Client, acting reasonably, has any issues or concerns with the Services provided by CWT through Onsite Staff, then Client shall report such concerns, issues or complaints to CWT for investigation by CWT. Client shall fully cooperate with CWT in such investigation.
4.3 Onsite Staff’s rights in respect of annual leave and sick leave with CWT will remain unaffected by the Agreement.
5. DOCUMENTS AND APPLICATIONS
Any and all documents and applications prepared or developed by Onsite Staff in connection with providing the Services shall belong to CWT.
6. LIABILITY AND INDEMNITY
Client shall be responsible for, and indemnify and defend and hold harmless CWT against any and all claims, liens, judgment, penalties, awards, remedies, debts, liabilities, damages, demands, costs, losses, expenses or causes of action of whatever nature including, without limitation those made or enjoyed by dependents, heirs, claimants, executors, administrators, successors, survivors or assigns (collectively, the “Claims”) regarding any Claim made by Onsite Staff in relation to a breach by Client of its undertakings hereunder.

In order to provide the Services, CWT shall base a CWT employee (“Service Manager”) on Client’s premises with effect from the date of signature of the agreement for the Services (“Effective Date”).
1. Responsibility of Client
1.1 Client shall:
(a) comply with all relevant laws and regulations in dealing with Service Manager;
(b) be responsible for the safety and security of Service Manager while he/she is on Client’s premises, and provide Service Manager with the same entitlements relating to safety and security as it provides to its own employees and personnel;
(c) provide decent working conditions and the same amenities for Service Manager as it provides to its own employees and personnel;

1.3 Client shall not require Service Manager to perform any duty which would place him/her in breach of his/her employment contract with CWT, which includes any CWT internal policies forming part of such employment contract (including, without limitation, any matter which would cause him/her to be in breach of CWT’s gifts, entertainment or anti-bribery policy).
1.4 Client shall not provide any incentive or consideration, financial or otherwise, to Service Manager without prior written approval from CWT.
2. Direction and Responsibility
2.1 Under no circumstances is CWT acting as a lender of staff, temporary staff agency or a recruitment agency to or for Client, in any way.
2.2 This Agreement shall not be construed to create a relationship of employer and employee between Client and Service Manager. Service Manager will remain CWT’s employee.

2.4 Notwithstanding Article 2.1, Service Manager may take instructions from Client with regard to providing the Services as set out in the SOW and shall cooperate with Client’s principal contact in that connection. Service Manager shall not act in the capacity of a program manager for Client.
3. CWT Employee Obligations
3.1 Code of Conduct and Policies
3.1.1 As a CWT employee, CWT Service Manager shall comply with CWT’s code of conduct and relevant policies during the term of the assignment.
3.1.2 Service Manager shall not be compelled to comply with any Client requirements or directions that contradict CWT’s policies and procedures, except for Client’s health and safety policies when Service Manager is working on Client’s premises.
3.2 Conflict of Interest
3.2.1 Client acknowledges that, subject to the confidentiality provisions of this Agreement, if Service Manager considers that an actual or potential conflict of interest may arise out of the work to be done by Service Manager during the assignment, he/she shall report such actual or potential conflict of interest to CWT, in accordance with CWT’s policies and procedures. Depending on the nature of the conflict, CWT will then discuss the matter with Client where relevant.
3.2.2 If reporting such actual or potential conflict of interest to CWT will result in a breach of the confidentiality provisions of this Agreement, Service Manager will arrange for a meeting with both Parties’ principle contacts and seek consent from Client’s principle contact during said meeting before disclosing the actual or potential conflict of interest to both Parties during the meeting.
3.2.3 If either CWT or Client considers that an actual or potential conflict of interest may arise out of the work to be done by Service Manager during the assignment, CWT and Client shall meet in good faith to resolve the conflict of interest.
3.3 Confidentiality
3.3.1 CWT acknowledges that Service Manager will have a duty of confidentiality to Client during the period of the assignment.
3.3.2 Where Service Manager must consult with CWT for advice and assistance for providing the Services, or where Client specifically requests Service Manager to do so, Client agrees that Service Manager may divulge such confidential information to CWT as is strictly necessary for those purposes.
3.3.3 Client acknowledges that CWT may hold confidential information relating to other clients, which neither Service Manager nor CWT may disclose to Client or use for Client’s benefit.
4. Absence and reassignment of Service Manager
4.1 CWT may replace Service Manager at any time during the term of the Agreement by providing reasonable prior notice to and consulting with Client.
4.2 If Client, acting reasonably, has any issues or concerns with the Services provided by CWT through Service Manager, then Client shall report such concerns, issues or complaints to CWT for investigation by CWT. Client shall fully cooperate with CWT in such investigation.
4.3 Where CWT decides to replace the Service Manager, for any reason whatsoever, CWT shall, in consultation with Client, use reasonable commercial efforts to assign a suitable new Service Manager for Client. Client shall have the right to interview the new Service Manager and shall not unreasonably refuse such new Service Manager proposed by CWT.
4.4 Service Manager’s rights in respect of annual leave and sick leave with CWT will remain unaffected by the Agreement. CWT undertakes to inform Client within a reasonable time and no later than ten (10) days in advance of his/her annual leave in excess of three (3) days and three (3) days in advance of holiday periods lasting less than three (3) days .
4.5 If the Parties are unable to agree on how the Services will continue to be supplied during any parental leave or long absence, either Party may suspend this Agreement for the duration of such parental leave or absence. Client shall not be required to pay any Service Fees during that time, and any pre-paid Service Fees will be refunded on a pro-rata basis.
5. Liability and Indemnity
Client shall be responsible for, and indemnify and defend and hold harmless CWT against any and all claims, liens, judgment, penalties, awards, remedies, debts, liabilities, damages, demands, costs, losses, expenses or causes of action of whatever nature including, without limitation those made or enjoyed by dependents, heirs, claimants, executors, administrators, successors, survivors or assigns (collectively, the “Claims”) regarding any Claim made by:
· Service Manager in relation to a breach by Client of its undertakings hereunder;
· a third party arising from Service Manager’s actions or omission only insofar as he/she is acting under Client’s directions.

CWT Global Solutions Group Terms and Conditions
The scope of work (“Scope of Work”) provided to you (“Client” or “you”) by CWT is subject to and incorporates by reference the following terms and conditions (“Terms and Conditions”). The Scope of Work and these Terms and Conditions shall collectively be called the “Agreement”. Your agreement to the Scope of Work shall constitute your acceptance of all of the Terms and Conditions. The Agreement shall apply to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
1. RELATIONSHIP OF THE PARTIES
(a) It is understood by the Parties that CWT is an independent contractor with respect to Client and nothing in the Agreement or in the performance of the Agreement shall create a joint venture, partnership, agency or an employment relationship between the Parties. The method, manner and means by which CWT's obligations hereunder are to be performed and the specific hours to be worked by CWT shall be determined by CWT. It is understood that CWT has other clients and offers services to other businesses and organizations.
(b) Client hereby appoints CWT to perform CWT's obligations hereunder. Client shall promptly provide CWT with all necessary data and information (and updates to such information from time to time where useful) to enable CWT to perform its obligations.
(c) Where applicable, Client authorizes CWT to enter into negotiations and request contracts with third party suppliers (being the third parties noted in the Scope of Work, including airlines, hotels and ground transportation companies (collectively “Third Party Suppliers”)) on behalf of Client in order to perform its obligations under the Agreement. These contracts will be between the Third Party Suppliers and Client. None of the contract negotiations or any of the services provided by CWT under the Agreement or the CWT Deliverables (as defined in s. 6(c)) will constitute any legal opinion or advice.
(d) CWT has based comments, recommendations and the CWT Deliverables on information provided by Client and the Third Party Suppliers. CWT is not responsible for the completeness or accuracy of such information.
2. COMPENSATION
(a) Client shall settle all invoices received from CWT within thirty (30) days of the date of invoice. Any overdue payments shall incur interest at the rate set out in the Scope of Work until payment is made in full. In the case of non-compliance with the agreed payment schedule specified in the Scope of Work, CWT reserves the right to revoke or suspend the services provided under the Agreement. Client shall pay CWT as provided in the Scope of Work in full without any deduction or set off.
(b) Client shall reimburse CWT for any out-of-pocket costs and expenses, including actual travel and accommodation expenses, within thirty (30) days of delivery of an invoice therefor.
3. TERM AND TERMINATION
The Agreement shall apply until the expiration of the final phase set forth in the Scope of Work. The Agreement may be terminated by either Party at any time prior to expiration: (i) if the other Party commits a material breach of the Agreement (including failure to pay amounts due under the Agreement) and has not remedied such breach within fifteen (15) business days after receiving written notice including a detailed description of such breach and the steps the notifying Party believes are necessary to remedy it or (ii) if the other Party becomes insolvent, becomes bankrupt or has bankruptcy proceedings instituted against it (that remain unstayed for ten days) or the Party makes a general assignment for the benefit of creditors or makes a written statement to the effect that the Party is unable to pay its debts as they become due.
Client shall pay on or prior to the date of termination all CWT’s fees and all out-of-pocket costs and expenses incurred up to the date of termination.
4. FORCE MAJEURE
Neither Party shall be held liable for any delay or failure to perform its obligations hereunder caused by circumstances beyond its reasonable control including, without limitation, strikes, fires, acts of God, any form of government intervention; provided that the performance of such obligations shall be suspended only for such time as such circumstances last. Notwithstanding the foregoing, no event of force majeure shall limit or relieve the obligations of the Parties to make all payments required hereunder in a timely manner.
5. CONFIDENTIALITY
Each of the Parties shall keep confidential the CWT Deliverables (in draft and final form) and the contents of the Agreement and all non-public information received from the other Party in connection with the performance of its obligations hereunder (“Confidential Information”), and not disclose any Confidential Information to third parties (including travel suppliers), unless required by law, without the prior written consent of the other Party, for the duration of the Agreement and for a period of two (2) years following termination of the Agreement. Each Party shall disclose Confidential Information only to those directors, officers, employees and affiliates who need to know the same in connection with the performance of its obligations hereunder. Confidential Information shall not include information to the extent it: (i) is in the public domain or generally available to the public; or (ii) was in the possession of or disclosed to the other prior to the date hereof, free of any obligation to keep the same confidential; or (iii) is lawfully acquired by the other from a third party under no obligation or confidence to the other Party; or (iv) a Party is obligated under law or court order to disclose. Notwithstanding the foregoing, CWT shall not be required to keep confidential any analyses, works or surveys based on information received by CWT so long as they do not contain individually identifiable information or they are used solely for aggregation purposes.
6. INTELLECTUAL PROPERTY
(a) All data provided by Client and/or collected by CWT solely on behalf of Client (the "Client's Data") are the sole property of Client and shall be licensed to CWT on a royalty-free basis for the purpose of the Agreement and when used on an anonymous basis for benchmarking or statistical purposes.
(b) All proprietary business methods, databases, computer programs, know-how, and methods of calculation used for the purpose of the Agreement ("CWT Tools") are the sole property of CWT. The Parties agree and acknowledge that at no time shall the CWT Tools be licensed to or become the property of Client.
(c) Whether based on Client's Data or not, all information, draft and final reports, and other creative works in whatever medium whether or not patentable or copyrightable, conceived or made (solely or with others) by CWT, including the results of any analyses, works or surveys in connection with CWT's obligations hereunder (collectively, “CWT Deliverables”), shall be the sole and exclusive property of CWT. CWT shall in no way be restricted from making use of, sharing or otherwise exploiting in any fashion the CWT Deliverables.
(d) CWT hereby grants Client a limited non-exclusive license for the term of the Agreement and one (1) year after the term, to: (i) provide and distribute CWT Deliverables to the procurement teams of its affiliates, and (ii) use CWT Deliverables for the purposes of its negotiations with its Travel Suppliers (without disclosing the CWT Deliverables or the contents thereof or any information on any other Travel Supplier) in each case solely to the extent necessary to achieve the objectives of the Agreement. Without limiting the foregoing, other than uses mentioned above, Client shall not, and shall not permit any of its employees or affiliates to, use any CWT Deliverables for any other purpose including: (i) transfer, whether or not for a fee, of CWT Deliverables to any other person outside of Client's organization, (ii) copying or modifying CWT Deliverables or making use of CWT Deliverables in developing similar works or (iii) competing in any manner with CWT. Client shall be responsible for ensuring that its affiliates limit their use of CWT Deliverables to the same extent. Without limiting the foregoing, the Parties acknowledge that the CWT Deliverables contain valuable proprietary information developed by CWT and that any use by Client of the CWT Deliverables in breach of the Agreement would cause CWT irreparable harm.
7. REMEDIES
(a) Limitation of Liability. Notwithstanding anything in this Agreement to the contrary (subject to clause 7(b)), neither of the Parties nor their respective affiliates shall be liable (on the basis of breach of contract, breach of warranty or tort) for any matter arising out of or in connection with the Agreement for loss of profit, business, goodwill or revenue, or any punitive, special, indirect or consequential loss or any other indirect or consequential loss of whatever nature, whether or not reasonably foreseeable, actual or prospective, reasonably contemplated or actually contemplated by the Parties however caused and irrespective of any negligence or fault. The total liability of CWT hereunder shall be limited to an amount equal to the total amount paid to CWT by Client pursuant to the Agreement.
(b) Client’s exclusive remedy for any claim arising out of or relating to a breach of the Agreement by CWT will be for CWT, upon receipt of written notice including a detailed description of such breach and the steps Client believes are necessary to cure such breach, either: (i) to use commercially reasonable efforts to cure such breach, or (ii) to return to Client the fees paid by Client to CWT for the particular component of performance of CWT's obligations hereunder as to which CWT was in breach. Client agrees that this remedy reflects an appropriate allocation of the risks and rewards of its obligations hereunder and that it shall not allege that this remedy fails its essential purpose.
8. COMPLIANCE WITH LAWS
The Parties are and shall remain in compliance in all material respects with all applicable laws, rules, regulations or orders of any relevant governmental authority.
9. ENTIRE AGREEMENT
This Agreement contains the full and complete understanding of the Parties as to the subject matter hereof, and cancels and supersedes any and all prior agreements, arrangements or oral discussions between the Parties relating to such subject matter, and shall not be modified except by written agreement between the Parties. In the event of any conflict between the terms of this Agreement and the terms of any schedules, attachments, proposals, specifications, invoices, purchase orders, or any other documents or correspondence, the terms of this Agreement shall prevail.
10. WAIVER
The waiver by either Party of a breach or default of any of the provisions of this Agreement by the other Party shall not be construed as a waiver of any succeeding breach of the same or any other provisions nor shall any delay or omission on the part of either Party to exercise or avail itself of any right, power or privilege that it has or may have hereunder operate as a waiver of any breach or default by the other Party.
11. SEVERABILITY
If any provision of the Agreement is in whole or in part unenforceable, invalid or illegal, such provisions shall not affect the validity, force or effect of the remainder of the Agreement. If any invalid, unenforceable or illegal provision of the Agreement would be valid, enforceable and legal if some part of it were deleted or amended, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
12. ASSIGNMENT AND SUBCONTRACTING
Unless otherwise stated in the Agreement, neither Party shall, without the prior written consent of the other Party, assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Agreement.
13. GOVERNING LAW
Any claims or disputes arising out of or related hereto or to the transactions contemplated hereby or to the inducement of any Party to enter herein, whether for breach of contract, tortious conduct or otherwise and whether predicated on common law, statute or otherwise (collectively, “Claims”), shall in all respects be governed by and construed in accordance with Dutch law, including all matters of construction, validity and performance, in each case without reference to any conflict of law rules that might lead to the application of the laws of any other jurisdiction.
14. JURISDICTION
All Claims shall be referred to and finally and exclusively settled by the Courts of Amsterdam.
15. NOTICES
All notices to be given hereunder shall be in writing and shall be deemed to be given when mailed by certified or registered mail, or personal delivery or by facsimile if confirmed by registered airmail thereafter, to the addresses of the Parties specified in this Agreement unless either Party shall specify to the other Party a different address for the giving of such notice.
16. ANNOUNCEMENTS
CWT may state in its announcements and presentation materials that it provides Solutions Group services to Client and use Client’s logo and/or trademark for this limited purpose. CWT will not modify the logo and/or trademark supplied by Client. The Parties shall mutually agree on the content of any press release.
17. THIRD PARTY RIGHTS
A person who is not a party to the Agreement shall not have any rights under or in connection with it.
18. DEFINITIONS
The following definitions shall for all purposes be applied to the terms used in the Agreement: (i) "affiliate" of a person shall mean any other person, business or entity that controls, is controlled by or is under common control with such person. For the purposes of the preceding sentence, the term "controls" (including, with correlative meanings, the terms "controlled by" and "under common control with") shall mean the power, directly or indirectly, to direct or cause the direction of the management or policies of a person or entity, whether through the ownership of voting securities, by agreement or otherwise; provided that beneficial ownership of more than ten percent (10%) or more of the voting securities of a person or entity shall be deemed to be control; (ii) “include” or “including” shall mean “include without limitation” or “including without limitation” as the case may be.

CWT Global B.V., acting for itself and on behalf of its Affiliates (as defined below) (“CWT”), and the other party identified below acting for itself and on behalf of its Affiliates (“Contracting Party”). CWT and Contracting Party are collectively the “parties”. The parties intend to enter into discussions to evaluate and possibly enter into, without obligation, a potential business transaction (“Purpose”). Each party to this agreement wishes to disclose to the other party confidential information in relation to the Purpose. “Affiliates” means any company or other legal entity which directly or indirectly: (i) controls a party; or (ii) is controlled by a party; or (iii) controlled by a company or entity which directly or indirectly controls a party. For these purposes, “control” means the right to exercise more than fifty percent (50%) of the voting or similar right of ownership; but only for so long as such control shall continue to exist and with respect to CWT, the term “Affiliate” shall include CWT’s independent partners and joint ventures in the countries where CWT does not have its own wholly-owned operations.
The parties agree as follows:
- This agreement shall commence on the date this agreement is accepted by the Contracting Party. Either party or any third party for or on its behalf (“Discloser”) may disclose to the other party or its Representatives (as defined below), (“Recipient”) information of either party or any of its Affiliates relating to the Purpose (in oral, written or computer-recorded form) which the Discloser considers under its applicable polices or normal business practices to be confidential or is marked ‘confidential’ or is provided in circumstances in which a reasonable expectation of confidentiality exists including but not limited to information relating to business, marketing or product plans, business operations, clients, customers, employees, proprietary software, databases, algorithms, formulae, inventions, computer programmes, including code (in whole or part), analysis and research projects, technologies, structures and architectures, security intellectual property, contracts, sales figures, commercial proposals, pricing lists or policies, financial information and reports, collectively “Confidential Information”.
- Recipient agrees to use the same degree of care exercised with respect to its own Confidential Information of the same nature and sensitivity to protect the Confidential Information provided by the Discloser and shall prevent any unauthorized use or disclosure, but shall use no less than a reasonable standard of care.
- Recipient may use Confidential Information only for the Purpose. Recipient may share Confidential Information with its officers, directors, employees, agents, contractors/consultants, advisers and Affiliates (“Representatives”). Recipient must inform their Representatives that they are obligated to protect the Discloser’s Confidential Information in a manner consistent with this agreement. In any event, the Recipient shall remain liable for any disclosure by its Representatives to any third party.
- This agreement shall not apply to the extent that the Confidential Information: (a) is publicly available through no wrongful act or omissions of Recipient (b) was known to Recipient prior to disclosure from Discloser; (c) received from a third party having the right to disclose such information; or (d) is independently developed by Recipient without reference to Confidential Information. A Recipient may disclose Confidential Information when compelled to do so by applicable law, order of court, agency or government authority of competent jurisdiction provided it provides prior notice to the Discloser, unless a court orders that the Discloser not be given notice prior notice.
- This agreement shall remain in place for a period of 3 years until or unless terminated earlier by either party. Either party may terminate this agreement with 14 calendar days prior written notice. Confidential Information shared pursuant to this agreement shall remain confidential for a period of 5 years from the date of disclosure of that information.
- Each party agrees that the disclosure of any and all Confidential Information is solely for the Purpose, that neither party will be obliged to enter into any further agreement and that any negotiations towards a further agreement shall be subject to contract.
- Upon request of the Discloser, the Recipient shall return or destroy all Confidential Information except where the Recipient is required by law to retain such Confidential Information for its records.
- Neither party transfers or acquires any intellectual property rights under this agreement.
- This agreement does not create any agency or partnership relationship. This agreement, nor any right or obligation hereunder or interest herein may not be assigned, transferred or delegated without the prior written consent of the other party, save to an Affiliate, following a merger, consolidation or other internal reorganization.
- Failure to enforce any of provisions of this agreement will not constitute a waiver.
- If the parties enter into subsequent agreements relating to the Purpose containing provisions that conflict with the terms of this agreement, the terms of the subsequent agreements shall prevail.
- This Agreement shall be construed and governed by the laws of The Netherlands. All related disputes shall be resolved exclusively under the corresponding country of the applicable law.
- The Recipient acknowledges that the Confidential Information has been developed by the Discloser with substantial effort and cost and, therefore, has value to the Discloser; and that breach of any of provisions of this agreement could cause the Discloser irreparable injury for which no adequate remedy at law exists. Accordingly, the Discloser shall have the right, in addition to any other rights it may have and, by executing this agreement, the Recipient hereby consents, to the entry in any court having jurisdiction of a temporary or permanent restraining order or injunction restraining or enjoining the Recipient from any violation of this agreement.
14.	With the exception of the rights of any Affiliates, to enforce the benefits conferred by this agreement as well as the successors and assigns of each party, no term of this agreement is enforceable by a third party who is not a party to this agreement.

En signant cette ITD, le Client confirme que :
- CWT et le Client ont conclu un contrat de services de voyage, qui traite de la confidentialité et de la protection des données ;
- Le Client s’engage à informer ses employés du transfert des Données objet des présentes, et notamment des données transférées, de l’identité d'AIRHELP et de la Finalité ;
- Le Client indemnisera CWT de toute réclamation et de tous dommages relative à l’usage des Données, une fois ces dernières transférées à AIRHELP.

CWT Global B.V., acting for itself and on behalf of its Affiliates (as defined below) (“CWT”), and the other party identified below acting for itself and on behalf of its Affiliates (“Contracting Party”). CWT and Contracting Party are collectively the “parties”. The parties intend to enter into discussions to evaluate and possibly enter into, without obligation, a potential business transaction (“Purpose”). Each party to this agreement wishes to disclose to the other party confidential information in relation to the Purpose. “Affiliates” means any company or other legal entity which directly or indirectly: (i) controls a party; or (ii) is controlled by a party; or (iii) controlled by a company or entity which directly or indirectly controls a party. For these purposes, “control” means the right to exercise more than fifty percent (50%) of the voting or similar right of ownership; but only for so long as such control shall continue to exist and with respect to CWT, the term “Affiliate” shall include CWT’s independent partners and joint ventures in the countries where CWT does not have its own wholly-owned operations.
The parties agree as follows:
- This agreement shall commence on the date this agreement is accepted by the Contracting Party. Either party or any third party for or on its behalf (“Discloser”) may disclose to the other party or its Representatives (as defined below), (“Recipient”) information of either party or any of its Affiliates relating to the Purpose (in oral, written or computer-recorded form) which the Discloser considers under its applicable polices or normal business practices to be confidential or is marked ‘confidential’ or is provided in circumstances in which a reasonable expectation of confidentiality exists including but not limited to information relating to business, marketing or product plans, business operations, clients, customers, employees, proprietary software, databases, algorithms, formulae, inventions, computer programmes, including code (in whole or part), analysis and research projects, technologies, structures and architectures, security intellectual property, contracts, sales figures, commercial proposals, pricing lists or policies, financial information and reports, collectively “Confidential Information”.
- Recipient agrees to use the same degree of care exercised with respect to its own Confidential Information of the same nature and sensitivity to protect the Confidential Information provided by the Discloser and shall prevent any unauthorized use or disclosure, but shall use no less than a reasonable standard of care.
- Recipient may use Confidential Information only for the Purpose. Recipient may share Confidential Information with its officers, directors, employees, agents, contractors/consultants, advisers and Affiliates (“Representatives”). Recipient must inform their Representatives that they are obligated to protect the Discloser’s Confidential Information in a manner consistent with this agreement. In any event, the Recipient shall remain liable for any disclosure by its Representatives to any third party.
- This agreement shall not apply to the extent that the Confidential Information: (a) is publicly available through no wrongful act or omissions of Recipient (b) was known to Recipient prior to disclosure from Discloser; (c) received from a third party having the right to disclose such information; or (d) is independently developed by Recipient without reference to Confidential Information. A Recipient may disclose Confidential Information when compelled to do so by applicable law, order of court, agency or government authority of competent jurisdiction provided it provides prior notice to the Discloser, unless a court orders that the Discloser not be given notice prior notice.
- This agreement shall remain in place for a period of 3 years until or unless terminated earlier by either party. Either party may terminate this agreement with 14 calendar days prior written notice. Confidential Information shared pursuant to this agreement shall remain confidential for a period of 5 years from the date of disclosure of that information.
- Each party agrees that the disclosure of any and all Confidential Information is solely for the Purpose, that neither party will be obliged to enter into any further agreement and that any negotiations towards a further agreement shall be subject to contract.
- Upon request of the Discloser, the Recipient shall return or destroy all Confidential Information except where the Recipient is required by law to retain such Confidential Information for its records.
- Neither party transfers or acquires any intellectual property rights under this agreement.
- This agreement does not create any agency or partnership relationship. This agreement, nor any right or obligation hereunder or interest herein may not be assigned, transferred or delegated without the prior written consent of the other party, save to an Affiliate, following a merger, consolidation or other internal reorganization.
- Failure to enforce any of provisions of this agreement will not constitute a waiver.
- If the parties enter into subsequent agreements relating to the Purpose containing provisions that conflict with the terms of this agreement, the terms of the subsequent agreements shall prevail.
- This Agreement shall be construed and governed by the laws of The Netherlands. All related disputes shall be resolved exclusively under the corresponding country of the applicable law.
- The Recipient acknowledges that the Confidential Information has been developed by the Discloser with substantial effort and cost and, therefore, has value to the Discloser; and that breach of any of provisions of this agreement could cause the Discloser irreparable injury for which no adequate remedy at law exists. Accordingly, the Discloser shall have the right, in addition to any other rights it may have and, by executing this agreement, the Recipient hereby consents, to the entry in any court having jurisdiction of a temporary or permanent restraining order or injunction restraining or enjoining the Recipient from any violation of this agreement.
14.	With the exception of the rights of any Affiliates, to enforce the benefits conferred by this agreement as well as the successors and assigns of each party, no term of this agreement is enforceable by a third party who is not a party to this agreement.

Each party to this agreement wishes to disclose to the other party confidential information in relation to the Purpose. “Affiliates” means any company or other legal entity which directly or indirectly: (i) controls a party; or (ii) is controlled by a party; or (iii) controlled by a company or entity which directly or indirectly controls a party. For these purposes, “control” means the right to exercise more than fifty percent (50%) of the voting or similar right of ownership; but only for so long as such control shall continue to exist and with respect to CWT, the term “Affiliate” shall include CWT’s independent partners and joint ventures in the countries where CWT does not have its own wholly-owned operations.
The parties agree as follows:
- This agreement shall commence on the date this agreement is accepted by the Contracting Party. Either party or any third party for or on its behalf (“Discloser”) may disclose to the other party or its Representatives (as defined below), (“Recipient”) information of either party or any of its Affiliates relating to the Purpose (in oral, written or computer-recorded form) which the Discloser considers under its applicable polices or normal business practices to be confidential or is marked ‘confidential’ or is provided in circumstances in which a reasonable expectation of confidentiality exists including but not limited to information relating to business, marketing or product plans, business operations, clients, customers, employees, proprietary software, databases, algorithms, formulae, inventions, computer programmes, including code (in whole or part), analysis and research projects, technologies, structures and architectures, security intellectual property, contracts, sales figures, commercial proposals, pricing lists or policies, financial information and reports, collectively “Confidential Information”.
- Recipient agrees to use the same degree of care exercised with respect to its own Confidential Information of the same nature and sensitivity to protect the Confidential Information provided by the Discloser and shall prevent any unauthorized use or disclosure, but shall use no less than a reasonable standard of care.
- Recipient may use Confidential Information only for the Purpose. Recipient may share Confidential Information with its officers, directors, employees, agents, contractors/consultants, advisers and Affiliates (“Representatives”). Recipient must inform their Representatives that they are obligated to protect the Discloser’s Confidential Information in a manner consistent with this agreement. In any event, the Recipient shall remain liable for any disclosure by its Representatives to any third party.
- This agreement shall not apply to the extent that the Confidential Information: (a) is publicly available through no wrongful act or omissions of Recipient (b) was known to Recipient prior to disclosure from Discloser; (c) received from a third party having the right to disclose such information; or (d) is independently developed by Recipient without reference to Confidential Information. A Recipient may disclose Confidential Information when compelled to do so by applicable law, order of court, agency or government authority of competent jurisdiction provided it provides prior notice to the Discloser, unless a court orders that the Discloser not be given notice prior notice.
- This agreement shall remain in place for a period of three (3) years until or unless terminated earlier by either party. Either party may terminate this agreement with fourteen (14) calendar days' prior written notice. Confidential Information shared pursuant to this agreement shall remain confidential for a period of five (5) years from the date of disclosure of that information.
- Each party agrees that the disclosure of any and all Confidential Information is solely for the Purpose, that neither party will be obliged to enter into any further agreement and that any negotiations towards a further agreement shall be subject to contract.
- Upon request of the Discloser, the Recipient shall return or destroy all Confidential Information except where the Recipient is required by law to retain such Confidential Information for its records.
- Neither party transfers or acquires any intellectual property rights under this agreement.
- This agreement does not create any agency or partnership relationship. This agreement, nor any right or obligation hereunder or interest herein may not be assigned, transferred or delegated without the prior written consent of the other party, save to an Affiliate, following a merger, consolidation or other internal reorganization.
- Failure to enforce any of provisions of this agreement will not constitute a waiver.
- If the parties enter into subsequent agreements relating to the Purpose containing provisions that conflict with the terms of this agreement, the terms of the subsequent agreements shall prevail.
- This Agreement shall be construed and governed by the laws of The Netherlands. All related disputes shall be resolved exclusively under the corresponding country of the applicable law.
- The Recipient acknowledges that the Confidential Information has been developed by the Discloser with substantial effort and cost and, therefore, has value to the Discloser; and that breach of any of provisions of this agreement could cause the Discloser irreparable injury for which no adequate remedy at law exists. Accordingly, the Discloser shall have the right, in addition to any other rights it may have and, by executing this agreement, the Recipient hereby consents, to the entry in any court having jurisdiction of a temporary or permanent restraining order or injunction restraining or enjoining the Recipient from any violation of this agreement.
14.	With the exception of the rights of any Affiliates, to enforce the benefits conferred by this agreement as well as the successors and assigns of each party, no term of this agreement is enforceable by a third party who is not a party to this agreement.

CONDITIONS GÉNÉRALES D’ACHAT CWT MEO "Biens et Services
1.	BASE DU CONTRAT
1.1	CWT MEO (ci-après « CWT M&E »), agissant pour elle-même et/ou au nom et pour le compte de son client (« Client »), comme indiqué dans le bon de commande/le descriptif des services/la confirmation écrite/l'ordre d'achat applicable (selon le cas, la «Commande ») désigne le Prestataire comme fournisseur de biens et/ou de services tel que stipulé dans la Commande (« Biens » et/ou « Services »). Le Prestataire accepte sa désignation en vertu de la Commande et des présentes conditions générales d’achat («Conditions»), lesquelles constituent ensemble l’accord entre les parties (« Accord »). En cas de contradiction entre les stipulations de la Commande et des présentes Conditions, celles de la Commande prévaudront. Par ailleurs, les présentes Conditions prévalent sur les conditions générales de vente du Prestataire.
2.	FOURNITURE DE BIENS
2.1	Le Prestataire s’engage à ce que les Biens : (a) correspondent à la description faite dans la Commande et/ou à toute autre spécification liée à la Commande ; et (b) soient de qualité suffisante et conformes à l’usage auxquels ils sont destinés tel qu’annoncés par le Prestataire ou indiqués au Prestataire par CWT M&E et/ou le Client.
2.2	Le Prestataire garantit qu'il détient tous les consentements, licences, permissions, autorisations et permis requis pour exécuter ses obligations relatives à la fourniture et à la vente des Biens en vertu de l'Accord ; et (ii) qu'il réalise les prestations objet de la Commande dans les règles de l’art, conformément aux normes et usages appliqués dans la profession.
2.3	CWT M&E et/ou le Client auront le droit d'inspecter les Biens à tout moment avant la livraison. Si, à la suite d'une telle inspection, CWT M&E et/ou le Client considèrent que les Biens ne sont pas conformes ou risquent de ne pas correspondre aux engagements du Prestataire stipulés à la clause 2.1, le Prestataire, après en avoir reçu notification, prendra immédiatement les mesures nécessaires pour remédier à la situation et assurer la conformité des Biens.
3.	LIVRAISON DE BIENS
3.1	Le Prestataire veillera à ce que les Biens soient correctement étiquetés, emballés et protégés de telle sorte qu'ils puissent atteindre leur destination en bon état.
3.2	Le Prestataire livrera les Biens au lieu indiqué dans la Commande ou spécifié par CWT M&E et/ou le Client avant la livraison («Lieu de livraison») à l'heure et à la date spécifié dans la Commande. La livraison des Biens sera considérée comme effectuée lorsque les Marchandises seront totalement déchargées sur le Lieu de livraison.
3.3	Les droits et les risques afférents aux Biens seront transférés à CWT M&E et/ou au Client à l'achèvement de la livraison.
4.	PRESTATIONS DE SERVICES
4.1	S'il fournit des Services, le Prestataire, à compter de la date fixée dans la Commande et pour toute la durée de validité du présent Accord : (a) coopérera avec CWT M&E et/ou le Client dans tous les aspects liés aux Services et se conformera à toutes les instructions raisonnables de CWT M&E et/ou du Client ; (b) exécutera les Services avec le soin, les compétences et la diligence qui s'imposent, dans le respect des règles de l’art et conformément aux normes et usages appliqués dans la profession ; (c) emploiera du personnel suffisamment qualifié et expérimenté pour mener à bien les prestations qui lui sont confiées ; (d) veillera à ce que les Services soient conformes à l'ensemble des descriptions et spécifications indiquées dans la Commande et à ce que les livrables conviennent à toute application indiquée expressément ou implicitement par CWT M&E et/ou le Client au Prestataire ; (e) obtiendra et conservera en permanence toutes les licences et autorisations nécessaires à la fourniture des Services.
5.	CONFORMITÉ À LA LÉGISLATION ET AUX NORMES EN VIGUEUR
5.1	Le Prestataire se conformera à l'ensemble des législations et réglementations applicables (en ce compris, et sans aucune restriction, celles relatives à la lutte contre la corruption).
5.2	Le Prestataire respectera la législation relative à la protection des données personnelles et de la vie privée en vigueur et traitera uniquement les Données personnelles (conformément à la législation précitée) dans le seul but de fournir les Biens et/ou Services concernés, et, le cas échéant, exclusivement au nom de CWT M&E. Toute divulgation de Données personnelles à des tiers devra faire l'objet d'une notification préalable et, s'il y a lieu, d'une autorisation préalable. Le Prestataire mettra en place et maintiendra des mesures techniques et organisationnelles adaptées afin de protéger les Données personnelles de toute destruction ou altération accidentelle ou illicite, et de toute divulgation ou accès non autorisé. Les transferts de Données personnelles en dehors de l'UE/EEE devront respecter les dispositions légales applicables en la matière. Le Prestataire notifiera CWT M&E d'une éventuelle violation des Données personnelles au plus tard dans les 24 heures après en avoir eu connaissance.
5.3	Le Prestataire exécutera ses obligations en accord avec les normes éthiques et comportements responsables de CWT M&E (https://www.carlsonwagonlit.com/content/dam/cwt/pdf/responsible-business-ethics/cwt-code-of-conduct.pdf) et avec toute autre norme du Client, tel que communiquées régulièrement et sujettes à modifications.
5.4	Le Prestataire acceptera toute demande de contrôle ou d'audit de la part de CWT M&E et/ou du Client, dès lors que celle-ci est en rapport avec la fourniture des Biens et/ou Services.
6.	CESSION-SOUS-TRAITANCE
6.1	Le Prestataire ne cédera, ne transférera ni ne sous-traitera, en tout ou partie, aucune de ses obligations dans le cadre du présent Accord sans le consentement écrit préalable de CWT M&E. Dans tous les cas, il restera seul et entièrement responsable de l'exécution de la Commande et de ses obligations définies dans le présent Accord.
7.	RECOURS DE CWT M&E ET/OU DU CLIENT
7.1	Si le Prestataire ne livre et/ou ne fournit pas les Biens/Services conformément au présent Accord, CWT M&E et/ou le Client peuvent, sans toutefois limiter leurs autres droits ou recours respectifs : (a) mettre fin à l'Accord avec effet immédiat par notification écrite au Prestataire ; (b) refuser toute fourniture ultérieure des Services et/ou livraison des Biens ; (c) être remboursés par le Prestataire de tous frais encourus par CWT M&E et/ou le Client pour obtenir des biens et/ou services de substitution de la part d'un tiers ; (d) être remboursés par le Prestataire des sommes versées en avance pour des Biens/Services que le Prestataire n'a pas fournis ; et (e) réclamer l’indemnisation de tous les coûts, pertes ou dépenses additionnels encourus et découlant de quelque manière que ce soit d'un manquement du Prestataire.
7.2	Si le Prestataire livre des Biens non conformes aux modalités fixées dans la clause 2.1, CWT M&E et/ou le Client peuvent, sans toutefois limiter leurs autres droits ou recours (à l'exception de non-conformités découlant directement d'un acte ou d'une omission de CWT M&E et/ou du Client) : (a) refuser les Biens (en tout ou en partie), que les droits aient été transférés ou non, et les retourner au Prestataire à la charge et au risque de ce dernier ; (b) mettre fin à l'Accord avec effet immédiat en notifiant le Prestataire par voie écrite ; (c) exiger du Prestataire qu'il répare ou remplace tout Bien refusé, ou qu'il rembourse intégralement le prix des Biens refusés (si payés) ; (d) refuser toute livraison ultérieure des Biens que le Prestataire voudrait effectuer ; (e) être remboursés par le Prestataire des coûts, frais et dépenses encourus par CWT M&E et/ou le Client et découlant de la non-fourniture par ce dernier des Biens conformes aux stipulations du présent Accord.
8.	OBLIGATIONS DE CWT M&E ET/OU DU CLIENT
8.1	CWT M&E et/ou le Client produiront tous les documents, informations, pièces et la documentation (« Documentation ») dont le Prestataire peut avoir raisonnablement besoin pour fournir les Services et/ou les Biens.
9.	TARIFS ET PAIEMENT
9.1	Le prix des Biens et/ou Services sera celui indiqué dans la Commande. Il est ferme et non révisable pendant toute la durée de la Commande. Toute modification de la Commande doit faire l’objet d’un accord écrit.
9.2	Toute fourniture de Biens ou de prestation de Services doit faire l’objet d’une facture conforme aux obligations légales et réglementaires de la part du Prestataire.
9.3	CWT M&E, et le cas échéant le Client, paiera la facture, par virement, dans un délai de 45 (quarante-cinq) jours à compter de la réception de la facture, dès lors que les Biens ou les Services sont reconnus par CWT et/ou le Client complets et conformes à la Commande.
9.4	En cas d’éventuelle rémunération au profit de CWT M&E prévue dans le cadre de l’Accord, le Prestataire paiera la rémunération concernée à CWT M&E à hauteur du montant indiqué dans la Commande.
9.5	Le Prestataire accepte qu’il puisse être opéré par CWT M&E à tout moment une compensation conventionnelle entre les créances et les dettes qu’il pourrait avoir à l’égard de CWT M&E.
10.	DROITS DE PROPRIÉTÉ INTELLECTUELLE
10.1	CWT M&E et son Client resteront chacun titulaires de leurs droits de propriété intellectuelle respectifs sur leur Documentation. CWT M&E accordera au Prestataire l'autorisation non exclusive, gratuite et non cessible d'utiliser sa Documentation pour la durée du présent Accord dans le cadre de la Commande.
10.2	Tous les livrables créés par le Prestataire spécifiquement pour CWT M&E et/ou le Client dans le cadre de la Commande deviendront propriété de CWT M&E et/ou du Client (selon le cas). Compte tenu de cette cession des droits de propriété intellectuelle par le Prestataire, CWT M&E et/ou le Client (selon le cas) seront libres d'utiliser et d'exploiter les droits sur tout livrable, sur tous supports, pour le monde entier et pendant la durée légale de protection, sans compensation à verser au Prestataire en dehors du prix fixé dans la Commande.
10.3	Par ailleurs, le Prestataire est titulaire de certains droits de propriété intellectuelle et/ou d'autres droits qui n'ont pas spécifiquement été créés dans le cadre de la Commande, mais créés indépendamment et avant l'entrée en vigueur du présent Accord (« DPI du Prestataire »). Le Prestataire accorde à CWT M&E et/ou au Client (selon le cas) un droit d’utilisation non cessible (sauf aux filiales de CWT M&E et aux filiales du Client), non exclusif, sans frais supplémentaire, pour le monde entier, d'utiliser les DPI du Prestataire, mais uniquement sur les livrables indiqués dans la Commande et nécessaires à CWT M&E et/ou au Client (selon le cas) pour utiliser et jouir desdits livrables.
10.4	Le Prestataire garantit à CWT M&E et/ou le Client l’exercice et la jouissance paisible des droits de propriété intellectuelle sur les livrables et éléments fournis pour l’exécution de la Commande et les garantit contre tout recours ou toute action que pourrait leur intenter toute personne qui estimerait détenir des droits sur tout ou partie des livrables et éléments fournis par le Prestataire dans le cadre de la Commande.
11.	INDEMNISATION ET RESPONSABILITÉ
11.1	Le Prestataire sera responsable de tout dommage, direct et indirect, causé à CWT et/ou à son Client et/ou à tous tiers lors de l’exécution des prestations qui lui sont confiées ainsi qu’à ses propres prestataires. Il indemnisera ainsi et dégagera CWT M&E ainsi que le Client de toute responsabilité, couvrira les coûts, dépenses, dommages et pertes directes et indirectes et tout autre coût raisonnable encourus par CWT M&E ou le Client en raison de, ou en lien avec, toute plainte contre CWT M&E ou le Client découlant de, ou en lien avec, (i) la fourniture des Biens ou des Services, dans la mesure où une telle plainte résulte de la violation de tout engagement, assertion ou garantie donnée dans le cadre du présent Accord, d'une exécution négligente, d'un manquement ou d'un retard dans l'exécution de l'Accord par le Prestataire, (ii) une non-conformité aux conditions stipulées dans la clause 5, en ce compris les exigences de cryptage applicables. La présente clause d'indemnisation restera en vigueur après résiliation de l'Accord.
11.2	La responsabilité totale de CWT M&E et/ou du Client (selon le cas) sera limitée à un montant égal au prix total exigible par le Prestataire dans le cadre de la Commande ; ledit montant sera inclus dans la responsabilité totale de CWT M&E et/ou du Client (selon le cas) pour toute réclamation qui en résulte.
11.3	Ni CWT M&E ni le Client ne seront tenus des dommages indirects vis-à-vis du Prestataire.
12.	ASSURANCE
Le Prestataire déclare être titulaire de polices d’assurance en vigueur souscrites auprès d'une compagnie d'assurance notoirement solvable, et couvrant les conséquences financières de sa responsabilité pour tous dommages, directs ou indirects, qu’il pourrait causer du fait de l’exécution des prestations. Il produira, dès la demande de CWT M&E, l’attestation d'assurance correspondante et reprenant les détails des couvertures souscrites.
13.	CONFIDENTIALITÉ
13.1	Le Prestataire, ainsi que ses filiales, employés, membres, directeurs et agents (« Personnel du Prestataire »), gardera confidentiel et ne divulguera pas aux tiers tout savoir-faire technique ou commercial, ainsi que les spécifications, inventions, processus ou informations de nature confidentielle de CWT M&E et/ou de son Client, en ce compris toute information concernant les modèles commerciaux, les opérations, les produits, les services, les tarifs ainsi que toutes autres données financières de CWT M&E ou de son Client, sauf en cas de consentement écrit donné par un représentant habilité de CWT M&E ou du Client. Le Prestataire peut divulguer des informations confidentielles si la législation, toute autorité gouvernementale ou réglementaire ou un tribunal compétent l'y enjoint, sous réserve que le Prestataire, en vertu de la législation en vigueur, notifie promptement CWT M&E et/ou le Client de l'injonction en question avant de communiquer lesdites informations. La présente clause de confidentialité restera en vigueur après résiliation de l'Accord pendant une durée de trois ans.
14.	SÉCURITÉ DE L'INFORMATION
Le Prestataire se conformera aux exigences de sécurité de l'information de CWT M&E (www.carlsonwagonlit.com/content/cwt/global/en/for-suppliers/information-security-requirements.html), ainsi que le cas échéant, à toute autre exigence de sécurité de l'information du Client, tel que communiquées régulièrement et sujettes à modifications.
15.	RÉSILIATION
15.1	CWT M&E et/ou le Client peuvent à tout moment mettre fin à l'Accord avant l'exécution des Services ou la livraison des Biens en en notifiant le Prestataire par voie écrite. Le Prestataire gardera le droit à une compensation juste et raisonnable pour : (a) tout Service partiellement fourni, ou (b) tout travail en cours sur les Biens concernés entrepris avant réception de la notification de résiliation.
15.2	CWT M&E et/ou le Client peuvent mettre fin à l'Accord avec effet immédiat en notifiant le Prestataire par lettre recommandée avec accusé de réception : (a) en de manquement par le Prestataire à l’une quelconque de ses obligations, non réparé dans un délai de quinze jours à compter de la réception d’une mise en demeure adressée en la même forme et restée infructueuse, sans préjudice de tous dommages et intérêts ; (b) en cas de procédure collective du Prestataire et selon la réglementation applicable.
15.3	La résiliation de l'Accord n'affectera en aucun cas les droits et recours des parties déjà acquis à la date de la résiliation. Le Prestataire reconnaît que lorsque CWT M&E agit en tant que mandataire du Client, CWT M&E n'est pas responsable de tout paiement ou autre compensation éventuellement dus au Prestataire dans le cas d'une telle résiliation, le Client en conservant la responsabilité.
15.4	À la résiliation de l'Accord, quelle qu'en soit la raison, le Prestataire transmettra immédiatement à CWT M&E et/ou au Client tous les livrables liés aux Services, qu'ils soient achevés ou non à ce moment-là, et retournera toutes les informations confidentielles ainsi que toute autre Documentation de CWT M&E et/ou du Client à ces derniers.
16.	DIVERS
16.1	Une personne ou entité qui n'est pas partie à l'Accord ne disposera d'aucun droit de faire appliquer ses modalités. Le Client peut se prévaloir de toute modalité du présent Accord directement contre le Prestataire et/ou tout sous-traitant habilité du Prestataire.
16.2	Modification : le présent Accord peut uniquement être modifié sous la forme d'un avenant écrit entre les Parties et signé par leurs représentants habilités.
16.3	Durée : Les relations contractuelles prennent fin à l’issue de l’exécution des prestations prévues dans la Commande, sans préjudice des dispositions ci-dessus relatives à la confidentialité, aux données personnelles et à la responsabilité qui subsistent après l’exécution de la Commande.
16.4	Indépendance : Les Parties déclarent et reconnaissent qu’elles sont et demeureront, pendant toute la durée de leur relation contractuelle, des partenaires commerciaux et professionnels indépendants, assurant chacune les risques de sa propre exploitation. Aucune des Parties ne peut être tenue d’un engagement quelconque vis-à-vis de l’autre hors ou au-delà des cas et conditions spécifiquement prévues dans l’Accord. Le Prestataire déclare par ailleurs ne pas être en état de dépendance économique vis-à-vis de CWT M&E et s’engage, dans le cas où il le deviendrait, à le déclarer à CWT M&E.
16.5	Droit applicable - Juridiction : L’Accord est soumis au droit français. En cas de litiges relatifs à l’interprétation et/ou l’exécution de l’Accord, le tribunal de commerce de Nanterre sera seul compétent.

CONDITIONS GENERALES D’ACHAT (CGA)
Commande et acceptation des CGA : Toute réponse par un tiers (le Prestataire) à une demande de prestations (la Commande) par L’AGENCE et/ou commencement d’exécution par le Prestataire de la prestation demandée par L’AGENCE, vaudra l’acceptation par le Prestataire des présentes CGA lesquelles prévalent sur les Conditions générales de vente du Prestataire. Les Conditions particulières relatives à la Commande convenues par écrit entre L’AGENCE et le Prestataire prévalent sur les CGA en cas de contradiction.
Exécution de la Commande : Le Prestataire s’engage à réaliser les prestations objet de la Commande dans les règles de l’art et conformément aux normes et usages appliqués dans la profession ainsi qu’aux lois et règlements en vigueur applicables. Le Prestataire fait son affaire de l'ensemble des déclarations fiscales et sociales prévues au titre de la réglementation en vigueur et en justifiera à L’AGENCE à première demande.
Durée : Les relations contractuelles prennent fin à l’issue de l’exécution des prestations prévues dans la Commande, sans préjudice des dispositions relatives à la confidentialité ci-après qui subsistent après l’exécution de la Commande.
Prix, paiement et facturation : Les prix sont fermes et non révisables pendant toute la durée de la Commande. Toute modification de la Commande doit faire l’objet d’un accord écrit. Toute prestation doit faire l’objet d’une facture conforme aux obligations légales et réglementaires. Sauf disposition écrite contraire, L’AGENCE effectue les paiements à 45 jours fin de mois date de facture, par virement, dès lors que la prestation est reconnue par L’AGENCE complète et conforme à la Commande. Le Prestataire accepte qu’il puisse être opéré par L’AGENCE à tout moment une compensation conventionnelle entre les créances et les dettes qu’il pourrait avoir à l’égard de L’AGENCE.
Responsabilité et Assurances :
Le Prestataire sera responsable de tout dommage, direct et indirect, causé à L’AGENCE, les Clients de celle-ci et les tiers lors de l’exécution des prestations qui lui sont confiées ainsi qu’à ses propres prestataires. Le Prestataire déclare être titulaire de polices d'assurance en vigueur souscrites auprès d'une compagnie d'assurance notoirement solvable, et couvrant les conséquences financières de sa responsabilité pour tous dommages, directs ou indirects, qu'il pourrait causer du fait de l'exécution des Prestations.
Cession - Sous-traitance : Le Prestataire ne peut céder, transférer ou sous-traiter, même à titre gratuit, en tout ou en partie, la Commande, sauf accord préalable et exprès de L’AGENCE. Dans tous les cas, il demeurera seul et entièrement responsable à l’égard de L’AGENCE de l’exécution de la Commande et du respect des CGA.
Droit de la propriété industrielle et intellectuelle :
Chacune des Parties demeure propriétaire de tous éléments protégés par des droits de propriété intellectuelle acquis et/ou détenus antérieurement à la Commande. Le Prestataire garantit ainsi à L’AGENCE l’exercice et la jouissance paisible des droits sur les éléments fournis pour l’exécution de la Commande et garantit L’AGENCE contre tout recours ou toute action que pourrait lui intenter toute personne qui estimerait détenir des droits sur tout ou partie des éléments fournis par le Prestataire dans le cadre de la Commande.
Fin - Résiliation : En cas d'inexécution par l'une des Parties de l'une quelconque de ses obligations de la Commande, l'autre Partie pourra, quinze (15) jours après une mise en demeure adressée par lettre recommandée avec demande d'avis de réception restée infructueuse, prononcer la résiliation de plein droit de la Convention, sans préjudice du droit à indemnisation de la Partie résiliant la Convention.
Confidentialité – Données personnelles : Le Prestataire garantit la confidentialité des informations, de quelque nature que ce soit, écrites ou orales, dont il a connaissance dans le cadre de la Commande et des informations confidentielles relatives à L’AGENCE et ses Clients qu’il aurait été amené à connaître dans le cadre de l’exécution de la Commande et s'interdit de les communiquer aux personnes autres que celles qui ont qualité pour en connaître au titre de la Commande. Il s'engage à n'utiliser les informations confidentielles qu'aux fins d'exécution des prestations confiées, et ce pendant 3 ans à compter de l’exécution de la Commande ou de la fin du contrat.
Le Prestataire s’engage à respecter la règlementation applicable en matière de données personnelles. Ces données, qui sont confidentielles, ne seront utilisées par le Prestataire que conformément aux instructions et demandes de L’AGENCE et uniquement pour la fourniture des prestations prévues dans la Commande. Toute divulgation à des tiers devra faire l’objet d’une information préalable à l’AGENCE et, si applicable, d’une autorisation préalable de cette dernière. Afin de protéger les données contre tout accès et divulgation non autorisé, destruction et/ou altération accidentelle ou illicite, le Prestataire prendra les mesures techniques et organisationnelles appropriées. Le transfert de données personnelles en dehors de l’UE/EEE pourra être l’objet de mesures particulières et appropriées au regard des textes applicables. Le Prestataire devra notifier à l’AGENCE tout incident/faille de sécurité relatif aux données personnelles dans un délai de 24 heures à compter de sa connaissance de l’incident.
Indépendance : Les Parties déclarent et reconnaissent qu’elles sont et demeureront, pendant toute la durée de leur relation contractuelle, des partenaires commerciaux et professionnels indépendants, agissant en leur nom propre et assurant chacune les risques de sa propre exploitation. Aucune des Parties ne peut être tenue d'un engagement quelconque vis-à-vis de l'autre Partie hors ou au-delà des cas et conditions spécifiquement prévues par leur contrat. Le Prestataire déclare par ailleurs ne pas être en situation de dépendance économique vis-à-vis de L’AGENCE et s’engage, dans le cas où il le deviendrait, à le déclarer à L’AGENCE.
Responsabilité sociale et environnementale : Le Prestataire s’engage à se conformer à toutes les règles nationales, européennes et internationales en vigueur relatives aux normes éthiques et aux comportements responsables, y compris et de manière non exhaustive, à celles concernant les droits de l’homme, la protection de l’environnement, le développement durable et la corruption active ou passive.
Droit applicable - Juridiction : La Commande et les présentes CGA sont soumises au droit français. En cas de litiges relatifs à l’interprétation et/ou à l’exécution des Commandes, le Tribunal de Commerce de Nanterre sera seul compétent.

CWT MEO Goods and Services TERMS AND CONDITIONS
1.	BASIS OF CONTRACT
1.1	CWT MEO SAS (“CWTM&E”), acting on behalf of, or for the benefit of, its client (“Client”), as set out in referenced in the applicable order form / statement of work / written confirmation / purchase order (as applicable, “Order”), appoints Supplier as a provider of goods and/or services as stated in the Order (“Goods” and/or “Services”). Supplier accepts such appointment subject to: (a) the Order; and (b) these conditions (“Conditions”), which collectively form an agreement between the parties (“Agreement”). In the event of any inconsistency between any terms set out in: (a) the Order, and (b) these Conditions, these Conditions shall take precedence. These Conditions apply to the Agreement to the exclusion of any other terms that Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
2.	SUPPLY OF GOODS
2.1	Supplier shall ensure that Goods shall: (a) correspond with their description in the Order and/or any other specification related to the Order; and (b) be of satisfactory quality and fit for any purpose held out by Supplier or made known to Supplier by CWTM&E and/or Client.
2.2	Supplier warrants that it: (i) shall have and maintain all the licences, permissions, authorisations, consents and permits required to carry out its obligations under the Agreement in respect of the Goods; and (ii) has full, clear and unencumbered title to the Goods, including full and unrestricted rights to sell and transfer such Goods.
2.3	CWTM&E and/or Client shall have the right to inspect the Goods at any time before delivery. If, following such inspection, CWTM&E and/or Client considers that the Goods do not conform or are unlikely to comply with Supplier's undertakings at clause 2.1, following notification, Supplier shall immediately take such remedial action as is necessary to ensure compliance.
3.	DELIVERY OF GOODS
3.1	Supplier shall ensure that the Goods are properly labelled, packed and secured in such manner as to enable them to reach their destination in good condition.
3.2	Supplier shall deliver the Goods to the location as is set out in the Order or as otherwise instructed by CWTM&E and/or Client before delivery (“Delivery Location”) at the time and on the date specified in the Order. Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location. 3.3	Title and risk in the Goods shall pass to CWTM&E and/or Client on completion of delivery.
4.	SUPPLY OF SERVICES
4.1	Where Supplier is providing Services, Supplier shall from the date set out in the Order and for the duration of this Agreement: (a) co-operate with CWTM&E and/or Client in all matters relating to the Services, and comply with all reasonable instructions of CWTM&E and/or Client; (b) perform the Services with all due care, skill and diligence; (c) use personnel who are suitably skilled and experienced to properly perform tasks assigned to them; (d) ensure that the Services will conform with all descriptions and specifications set out in the Order, and that any deliverables shall be fit for any purpose expressly or impliedly made known to Supplier by CWTM&E and/or Client; (e) obtain and at all times maintain all necessary licences and consents necessary for the performance of the Services.
5.	COMPLIANCE WITH APPLICABLE LAWS, RULES, REGULATIONS & STANDARDS
5.1	Supplier shall comply with all applicable laws, rules and regulations (including, without limitation, in relation to anti-bribery).
5.2	Supplier shall comply with applicable data protection and privacy laws and only process Personal Data (as regulated under aforementioned laws) for the strict purposes of providing the applicable Goods and/or Services, and, where applicable, solely on behalf of CWTM&E. Any disclosures to third parties shall be subject to prior notice and, where applicable, prior consent. Supplier shall implement and maintain appropriate technical and organisational measures to protect Personal Data against accidental or unlawful destruction, alteration or unauthorised disclosure or access. Personal Data transfers outside of the EU/EEA shall be subject to appropriate legitimisation tools. Supplier shall notify CWTM&E within 24 hours of becoming aware of any occurrence of a Personal Data breach.
5.3	Supplier shall perform its obligations in a manner consistent with the ethical standards of CWTM&E (www.mycwt.com/content/dam/cwt/pdf/responsible-business-ethics/cwt-code-of-conduct.pdf) and any standards of Client, as communicated from time to time. 5.4	Supplier shall adhere to any due diligence and/or audit requirements of CWTM&E and/or Client in so far as they are required in connection with the provision of the Goods/Services.
6.	SUBCONTRACTORS
6.1	Supplier shall not subcontract any of its obligations under this Agreement without the prior written consent of CWTM&E. Supplier shall remain responsible for the performance of its obligations under this Agreement.
7.	CWTM&E AND/OR CLIENT REMEDIES
7.1	In the event that Supplier fails to deliver the Goods and/or perform the Services in accordance with this Agreement, CWTM&E and/or Client, without limiting their other respective rights or remedies, may: (a) terminate the Agreement with immediate effect upon written notice to Supplier; (b) refuse to accept any subsequent performance of the Services and/or delivery of the Goods; (c) recover from Supplier any costs incurred by CWTM&E and/or Client in obtaining substitute goods and/or services from a third party; (d) where payments have been made in advance for Services / Goods that have not been provided by Supplier, have such sums refunded by Supplier; and (e) claim damages for any additional costs, loss or expenses incurred which are in any way attributable to such failure of Supplier.
7.2	If Supplier has delivered Goods that do not comply with the undertakings set out in clause 2.1, then, without limiting other rights or remedies (but subject to any such non-compliance arising directly as a result of any acts or omissions of CWTM&E and/or Client), CWTM&E and/or Client may: (a) reject the Goods (in whole or in part) whether or not title has passed and return them to Supplier at Supplier's own risk and expense; (b) terminate the Agreement with immediate effect by giving written notice to Supplier; (c) require Supplier to repair or replace any rejected Goods, or provide a full refund of the price of such rejected Goods (if paid); (d) refuse to accept any subsequent delivery of the Goods which Supplier attempts to make; (e) recover from Supplier any expenditure incurred by CWTM&E and/or Client in obtaining substitute goods from a third party; and (f) claim damages for any additional costs, loss or expenses incurred by CWTM&E and/or Client arising from Supplier's failure to supply Goods in accordance with this Agreement.
8.	CWTM&E AND/OR CLIENT'S OBLIGATIONS
8.1	CWTM&E and/or Client shall provide such documents, information, items and materials (“Materials”) as Supplier may reasonably require to provide the Services and/or Goods.
9.	CHARGES AND PAYMENT
9.1	The price for the Goods/Services shall be as set out in the Order.
9.2	Supplier shall provide its invoice pursuant to the Order or otherwise following satisfactory completion of: (a) the Services; or (b) delivery of the Goods, as applicable. CWTM&E’s and/or Client’s payment of any invoices received 60 days or more, following such completion, shall be at CWTM&E’s and/or Client discretion.
9.3	In consideration of the supply of Goods/Services by Supplier, Client or CWTM&E shall pay the invoiced amounts within 45 (forty five) days of receipt of such invoice. 9.4	Supplier shall pay commissions to CWT M&E in the amount set forth in the Order.
10.	INTELLECTUAL PROPERTY RIGHTS
10.1	CWTM&E and its Client, respectively, shall each retain ownership of all intellectual property rights in their Materials. CWTM&E grants to Supplier a non-exclusive, royalty free, non-transferable licence to use its Materials for the duration of this Agreement for the purpose of the Order.
10.2	Subject to clause
10.3, all deliverables which have been created by Supplier specifically for CWTM&E and/or Client under the Order shall become the property of CWTM&E and/or Client (as applicable), and Supplier shall procure the waiver of any moral rights in such deliverables, which shall be considered work made for hire under copyright laws, save that to the extent any such deliverables do not qualify as work made for hire, Supplier assigns all intellectual property rights in such deliverables to CWTM&E and/or Client (as applicable). CWTM&E and/or Client (as applicable) shall be free to use and exploit the rights in any such deliverables without compensation to Supplier beyond the price set forth in the Order. 10.3	Supplier possesses certain intellectual property rights and/or other rights which have not been specifically created under the Order and which have been independently created prior to the commencement of this Agreement (“Supplier IPR”). Supplier grants to CWTM&E and/or Client (as applicable) a non-transferable (except to CWTM&E affiliates and Client affiliates), perpetual, non-exclusive, non-revocable, fully paid-up, worldwide license to use the Supplier IPR, but only as included in the deliverables set forth in the Order, as required for CWTM&E and/or Client (as applicable) to use and obtain the benefit of such deliverables.
10.4	Supplier warrants that CWTM&E’s and/or Client’s use of the Goods/Services shall not infringe the rights, including any intellectual property rights, of any third party.
11.	INDEMNITY AND LIABILITY
11.1	Supplier shall indemnify and hold CWTM&E and Client harmless against any liabilities, costs, expenses, damages and losses and all other reasonable professional costs and expenses incurred by CWTM&E or Client as a result of, or in connection with, any claim made against CWTM&E or Client, arising out of or in connection with (i) the supply of the Goods or the Services, to the extent that such claim arises out of the breach of any undertaking, representation or warranty given under this Agreement, negligent performance or failure or delay in performance of the Agreement by Supplier, (ii) failure to comply with the terms under clause 5 including applicable encryption requirements. This indemnity clause shall survive termination of the Agreement.
11.2	Subject to applicable law, the total liability of CWTM&E and/or Client (as applicable) shall be limited to an amount equal to the total price payable to Supplier under the Order and such amount shall be included in the total liability of CWTM&E and/or Client (as applicable) for any subsequent claim.
11.3	Neither CWTM&E nor Client shall be liable for any matter arising out of or in connection with this Agreement for loss of profit, business, goodwill or revenue, or any punitive, special, indirect or consequential loss or any other indirect or consequential loss of whatever nature, whether or not reasonably foreseeable, or reasonably contemplated by the parties, however caused and irrespective of any negligence or fault.
12.	INSURANCE
Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise in connection with the Agreement, and shall, on reasonable request, produce the insurance certificate giving current details of cover.
13.	CONFIDENTIALITY
13.1	Supplier shall, and shall ensure that its affiliates, employees, officers, directors and agents (“Supplier Personnel”) shall, keep confidential and not disclose to a third party, any technical or commercial know-how, specifications, inventions, processes or initiatives of CWTM&E and/or its Client, which are of a confidential nature, including any information which concerns CWT M&E’s or its Client’s business models, operations, products, services, pricing and other financial information, except where written consent has been given by an authorised representative of CWTM&E or Client, as appropriate. Supplier may disclose confidential information as is required by law, any governmental or regulatory authority or by a court of competent jurisdiction, provided that, subject to applicable law, Supplier shall promptly notify CWT M&E and/or Client (as appropriate) of any such requirement, prior to making the relevant disclosure. This confidentiality clause shall survive termination of the Agreement.
14.	INFORMATION SECURITY
Upon request, Supplier shall comply with CWTM&E’s Information Security Requirements (www.mycwt.com/content/cwt/global/en/for-suppliers/information-security-requirements.html
) together with any information security requirements of Client, as communicated from time to time.

15.	TERMINATION
15.1	CWTM&E and/or Client may terminate the Agreement at any time prior to completion of the Services or delivery of the Goods by giving written notice to Supplier. Supplier shall remain entitled to fair and reasonable compensation for: (a) any part of the Services, or (b) any work in progress on the relevant Goods, undertaken up until such termination notice.
15.2	CWTM&E and/or Client may terminate the Agreement with immediate effect by giving written notice to Supplier if: (a) Supplier commits a material breach of the terms of the Agreement and (if such a breach is remediable) fails to remedy such breach within five (5) working days of receipt of notice in writing to do so; (b) Supplier is the subject of any insolvency or bankruptcy proceedings.
15.3	Termination shall not affect any of the parties' rights and remedies that have accrued as at termination. Supplier acknowledges that where CWTM&E acts in the capacity of agent of Client, CWTM&E shall not be liable for any payments or other compensation owed to Supplier in the event of such termination, responsibility for which shall remain with Client.
15.4	On termination of the Agreement for any reason, Supplier shall immediately deliver to CWTM&E and/or Client all deliverables related to the Services whether or not then complete, and return all confidential information and any other Materials of CWTM&E and Client.
16.	MISCELLANEOUS.
16.1	A person or entity that is not a party to the Agreement shall not have any rights to enforce its terms. Client may enforce any of the terms of this Agreement directly against Supplier and/or any authorised subcontractor of Supplier. This Agreement may only be varied by a separate written agreement entitled “Variation of Supplier Agreement”, entered into by duly authorized signatories of the parties to this Agreement.
16.2	Any dispute or claim arising out of or in connection with this Agreement shall be governed by, and construed in accordance with, the laws of France. In the event of litigation concerning the interpretation and/or performance of this Agreement, The Nanterre commercial court shall have sole jurisdiction.

11.	INDEMNITY AND LIABILITY
11.1	Supplier shall indemnify and hold CWTM&E and Client harmless against any liabilities, costs, expenses, damages and losses and all other reasonable professional costs and expenses incurred by CWTM&E or Client as a result of, or in connection with, any claim made against CWTM&E or Client, arising out of or in connection with (i) the supply of the Goods or the Services, to the extent that such claim arises out of the breach of any undertaking, representation or warranty given under this Agreement, negligent performance or failure or delay in performance of the Agreement by Supplier, (ii) failure to comply with the terms under clause 5 including applicable encryption requirements. This indemnity clause shall survive termination of the Agreement.
11.2	Subject to applicable law, the total liability of CWTM&E and/or Client (as applicable) shall be limited to an amount equal to the total price payable to Supplier under the Order and such amount shall be included in the total liability of CWTM&E and/or Client (as applicable) for any subsequent claim.
11.3	Neither CWTM&E nor Client shall be liable for any matter arising out of or in connection with this Agreement for loss of profit, business, goodwill or revenue, or any punitive, special, indirect or consequential loss or any other indirect or consequential loss of whatever nature, whether or not reasonably foreseeable, or reasonably contemplated by the parties, however caused and irrespective of any negligence or fault.
12.	INSURANCE
Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise in connection with the Agreement, and shall, on reasonable request, produce the insurance certificate giving current details of cover.
13.	CONFIDENTIALITY
13.1	Supplier shall, and shall ensure that its affiliates, employees, officers, directors and agents (“Supplier Personnel”) shall, keep confidential and not disclose to a third party, any technical or commercial know-how, specifications, inventions, processes or initiatives of CWTM&E and/or its Client, which are of a confidential nature, including any information which concerns CWT M&E’s or its Client’s business models, operations, products, services, pricing and other financial information, except where written consent has been given by an authorised representative of CWTM&E or Client, as appropriate. Supplier may disclose confidential information as is required by law, any governmental or regulatory authority or by a court of competent jurisdiction, provided that, subject to applicable law, Supplier shall promptly notify CWT M&E and/or Client (as appropriate) of any such requirement, prior to making the relevant disclosure. This confidentiality clause shall survive termination of the Agreement.
14.	INFORMATION SECURITY
Upon request, Supplier shall comply with CWTM&E’s Information Security Requirements (www.carlsonwagonlit.com/content/cwt/global/en/for-suppliers/information-security-requirements.html) together with any information security requirements of Client, as communicated from time to time.
15.	TERMINATION
15.1	CWTM&E and/or Client may terminate the Agreement at any time prior to completion of the Services or delivery of the Goods by giving written notice to Supplier. Supplier shall remain entitled to fair and reasonable compensation for: (a) any part of the Services, or (b) any work in progress on the relevant Goods, undertaken up until such termination notice.
15.2	CWTM&E and/or Client may terminate the Agreement with immediate effect by giving written notice to Supplier if: (a) Supplier commits a material breach of the terms of the Agreement and (if such a breach is remediable) fails to remedy such breach within five (5) working days of receipt of notice in writing to do so; (b) Supplier is the subject of any insolvency or bankruptcy proceedings.
15.3	Termination shall not affect any of the parties' rights and remedies that have accrued as at termination. Supplier acknowledges that where CWTM&E acts in the capacity of agent of Client, CWTM&E shall not be liable for any payments or other compensation owed to Supplier in the event of such termination, responsibility for which shall remain with Client.
15.4	On termination of the Agreement for any reason, Supplier shall immediately deliver to CWTM&E and/or Client all deliverables related to the Services whether or not then complete, and return all confidential information and any other Materials of CWTM&E and Client.
16.	MISCELLANEOUS.
16.1	A person or entity that is not a party to the Agreement shall not have any rights to enforce its terms. Client may enforce any of the terms of this Agreement directly against Supplier and/or any authorised subcontractor of Supplier. This Agreement may only be varied by a separate written agreement entitled “Variation of Supplier Agreement”, entered into by duly authorized signatories of the parties to this Agreement.
16.2	Any dispute or claim arising out of or in connection with this Agreement shall be governed by, and construed in accordance with, the laws of France. In the event of litigation concerning the interpretation and/or performance of this Agreement, The Nanterre commercial court shall have sole jurisdiction.

CWT MEO Goods and Services TERMS AND CONDITIONS
1.	BASIS OF CONTRACT
1.1	CWT MEO SAS (“CWTM&E”), acting on behalf of, or for the benefit of, its client (“Client”), as set out in referenced in the applicable order form / statement of work / written confirmation / purchase order (as applicable, “Order”), appoints Supplier as a provider of goods and/or services as stated in the Order (“Goods” and/or “Services”). Supplier accepts such appointment subject to: (a) the Order; and (b) these conditions (“Conditions”), which collectively form an agreement between the parties (“Agreement”). In the event of any inconsistency between any terms set out in: (a) the Order, and (b) these Conditions, these Conditions shall take precedence. These Conditions apply to the Agreement to the exclusion of any other terms that Supplier seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
2.	SUPPLY OF GOODS
2.1	Supplier shall ensure that Goods shall: (a) correspond with their description in the Order and/or any other specification related to the Order; and (b) be of satisfactory quality and fit for any purpose held out by Supplier or made known to Supplier by CWTM&E and/or Client.
2.2	Supplier warrants that it: (i) shall have and maintain all the licences, permissions, authorisations, consents and permits required to carry out its obligations under the Agreement in respect of the Goods; and (ii) has full, clear and unencumbered title to the Goods, including full and unrestricted rights to sell and transfer such Goods.
2.3	CWTM&E and/or Client shall have the right to inspect the Goods at any time before delivery. If, following such inspection, CWTM&E and/or Client considers that the Goods do not conform or are unlikely to comply with Supplier's undertakings at clause 2.1, following notification, Supplier shall immediately take such remedial action as is necessary to ensure compliance.
3.	DELIVERY OF GOODS
3.1	Supplier shall ensure that the Goods are properly labelled, packed and secured in such manner as to enable them to reach their destination in good condition.
3.2	Supplier shall deliver the Goods to the location as is set out in the Order or as otherwise instructed by CWTM&E and/or Client before delivery (“Delivery Location”) at the time and on the date specified in the Order. Delivery of the Goods shall be completed on the completion of unloading of the Goods at the Delivery Location. 3.3	Title and risk in the Goods shall pass to CWTM&E and/or Client on completion of delivery.
4.	SUPPLY OF SERVICES
4.1	Where Supplier is providing Services, Supplier shall from the date set out in the Order and for the duration of this Agreement: (a) co-operate with CWTM&E and/or Client in all matters relating to the Services, and comply with all reasonable instructions of CWTM&E and/or Client; (b) perform the Services with all due care, skill and diligence; (c) use personnel who are suitably skilled and experienced to properly perform tasks assigned to them; (d) ensure that the Services will conform with all descriptions and specifications set out in the Order, and that any deliverables shall be fit for any purpose expressly or impliedly made known to Supplier by CWTM&E and/or Client; (e) obtain and at all times maintain all necessary licences and consents necessary for the performance of the Services.
5.	COMPLIANCE WITH APPLICABLE LAWS, RULES, REGULATIONS & STANDARDS
5.1	Supplier shall comply with all applicable laws, rules and regulations (including, without limitation, in relation to anti-bribery).
5.2	Supplier shall comply with applicable data protection and privacy laws and only process Personal Data (as regulated under aforementioned laws) for the strict purposes of providing the applicable Goods and/or Services, and, where applicable, solely on behalf of CWTM&E. Any disclosures to third parties shall be subject to prior notice and, where applicable, prior consent. Supplier shall implement and maintain appropriate technical and organisational measures to protect Personal Data against accidental or unlawful destruction, alteration or unauthorised disclosure or access. Personal Data transfers outside of the EU/EEA shall be subject to appropriate legitimisation tools. Supplier shall notify CWTM&E within 24 hours of becoming aware of any occurrence of a Personal Data breach.
5.3	Supplier shall perform its obligations in a manner consistent with the ethical standards of CWTM&E (https://www.carlsonwagonlit.com/content/dam/cwt/pdf/responsible-business-ethics/cwt-code-of-conduct.pdf) and any standards of Client, as communicated from time to time. 5.4	Supplier shall adhere to any due diligence and/or audit requirements of CWTM&E and/or Client in so far as they are required in connection with the provision of the Goods/Services.
6.	SUBCONTRACTORS
6.1	Supplier shall not subcontract any of its obligations under this Agreement without the prior written consent of CWTM&E. Supplier shall remain responsible for the performance of its obligations under this Agreement.
7.	CWTM&E AND/OR CLIENT REMEDIES
7.1	In the event that Supplier fails to deliver the Goods and/or perform the Services in accordance with this Agreement, CWTM&E and/or Client, without limiting their other respective rights or remedies, may: (a) terminate the Agreement with immediate effect upon written notice to Supplier; (b) refuse to accept any subsequent performance of the Services and/or delivery of the Goods; (c) recover from Supplier any costs incurred by CWTM&E and/or Client in obtaining substitute goods and/or services from a third party; (d) where payments have been made in advance for Services / Goods that have not been provided by Supplier, have such sums refunded by Supplier; and (e) claim damages for any additional costs, loss or expenses incurred which are in any way attributable to such failure of Supplier.
7.2	If Supplier has delivered Goods that do not comply with the undertakings set out in clause 2.1, then, without limiting other rights or remedies (but subject to any such non-compliance arising directly as a result of any acts or omissions of CWTM&E and/or Client), CWTM&E and/or Client may: (a) reject the Goods (in whole or in part) whether or not title has passed and return them to Supplier at Supplier's own risk and expense; (b) terminate the Agreement with immediate effect by giving written notice to Supplier; (c) require Supplier to repair or replace any rejected Goods, or provide a full refund of the price of such rejected Goods (if paid); (d) refuse to accept any subsequent delivery of the Goods which Supplier attempts to make; (e) recover from Supplier any expenditure incurred by CWTM&E and/or Client in obtaining substitute goods from a third party; and (f) claim damages for any additional costs, loss or expenses incurred by CWTM&E and/or Client arising from Supplier's failure to supply Goods in accordance with this Agreement.
8.	CWTM&E AND/OR CLIENT'S OBLIGATIONS
8.1	CWTM&E and/or Client shall provide such documents, information, items and materials (“Materials”) as Supplier may reasonably require to provide the Services and/or Goods.
9.	CHARGES AND PAYMENT
9.1	The price for the Goods/Services shall be as set out in the Order.
9.2	Supplier shall provide its invoice pursuant to the Order or otherwise following satisfactory completion of: (a) the Services; or (b) delivery of the Goods, as applicable. CWTM&E’s and/or Client’s payment of any invoices received 60 days or more, following such completion, shall be at CWTM&E’s and/or Client discretion.
9.3	In consideration of the supply of Goods/Services by Supplier, Client or CWTM&E shall pay the invoiced amounts within 45 (forty five) days of receipt of such invoice. 9.4	Supplier shall pay commissions to CWT M&E in the amount set forth in the Order.
10.	INTELLECTUAL PROPERTY RIGHTS
10.1	CWTM&E and its Client, respectively, shall each retain ownership of all intellectual property rights in their Materials. CWTM&E grants to Supplier a non-exclusive, royalty free, non-transferable licence to use its Materials for the duration of this Agreement for the purpose of the Order.
10.2	Subject to clause
10.3, all deliverables which have been created by Supplier specifically for CWTM&E and/or Client under the Order shall become the property of CWTM&E and/or Client (as applicable), and Supplier shall procure the waiver of any moral rights in such deliverables, which shall be considered work made for hire under copyright laws, save that to the extent any such deliverables do not qualify as work made for hire, Supplier assigns all intellectual property rights in such deliverables to CWTM&E and/or Client (as applicable). CWTM&E and/or Client (as applicable) shall be free to use and exploit the rights in any such deliverables without compensation to Supplier beyond the price set forth in the Order. 10.3	Supplier possesses certain intellectual property rights and/or other rights which have not been specifically created under the Order and which have been independently created prior to the commencement of this Agreement (“Supplier IPR”). Supplier grants to CWTM&E and/or Client (as applicable) a non-transferable (except to CWTM&E affiliates and Client affiliates), perpetual, non-exclusive, non-revocable, fully paid-up, worldwide license to use the Supplier IPR, but only as included in the deliverables set forth in the Order, as required for CWTM&E and/or Client (as applicable) to use and obtain the benefit of such deliverables.
10.4	Supplier warrants that CWTM&E’s and/or Client’s use of the Goods/Services shall not infringe the rights, including any intellectual property rights, of any third party.
11.	INDEMNITY AND LIABILITY

GENERAL TERMS AND CONDITIONS OF PURCHASE (GCP)
Purchase Order and acceptance of GCP: These general terms and conditions shall govern all requests for services from the AGENCY as well the performance of services by the Service Provider. These general terms and conditions take precedent over the Service Provider latter's general conditions of sale. The specific conditions governing Purchase Orders, as agreed in writing between the AGENCY and the Service Provider, shall take precedent over the GCP in the event of contradiction between them.
Performance of an order: The Service Provider hereby agrees to perform services requested in a Purchase Order in accordance with state of the art rules and standard practice in the profession as well as currently applicable laws and regulations. The Service Provider also accepts responsibility for submitting all tax and social security declarations in accordance with current regulations and agrees to provide evidence of compliance on first request by the AGENCY.
Contract term: The contractual relationship shall terminate once the services requested in a Purchase Order have been performed, without prejudice to the provisions governing confidentiality set out below, which shall continue to apply thereafter.
Prices, payment and billing: Prices shall be fixed and not reviewable for the term covered by the order. Any changes to a Purchase Order must be in the form of a written agreement. All services supplied must be invoiced in accordance with statutory and regulatory obligations. Unless otherwise specifically agreed in writing, the AGENCY will make payments 45 days after the end of the month of billing, by bank transfer, once the service provided has been acknowledged as complete by the AGENCY and in accordance with the Purchase Order. The Service Provider agrees to allow the AGENCY to set-off any credit and debit balances it may have with regard to the AGENCY.
Liability and insurance
The Service Provider shall be liable for all damage, direct and indirect, caused to the AGENCY, its customers and any third parties while performing the services entrusted to it as well as to its own suppliers. The Service Provider hereby declares itself to be the holder of a valid insurance policy subscribed to with an insurance company known to be solvent and covering the financial consequences of its liability for any damage, direct or indirect, it may cause as a consequence of performing the services.
Assignment – subcontracting: The Service Provider may not assign, transfer or subcontract, even free of charge, all or part of an order without the prior and express consent of the AGENCY. In every case, it shall remain solely and fully liable to the AGENCY for the performance of all orders and for complying with the GCP.
Industrial and intellectual property rights:
Each of the Parties shall retain ownership on all items of property protected by intellectual property rights and acquired and/or held prior to the placement of a purchase order. The Service Provider thus guarantees that the AGENCY shall be entitled to peacefully exercise and enjoy the ownership rights to all property supplied in execution of a Purchase Order and also indemnifies the AGENCY against any legal recourse or action that may be taken against it by a party considering itself to hold rights to all or part of the property supplied by the Service Provider pursuant to the placement of the purchase order.
Termination – Cancellation: Non-performance by either of the Parties of its obligations under the terms of the Purchase Order shall entitle the other Party, fifteen (15) days after service of notice delivered by registered letter in exchange for a receipt fails to obtain a satisfactory response, to terminate the agreement automatically, without prejudice to the right of the Party cancelling the agreement to seek compensation.
Confidentiality – Personal data: The Service Provider hereby commits to keep strictly confidential all information, of any kind, written or verbal, it may have access while executing a Purchase Order, as well as any confidential information concerning the AGENCY and its customers it may similarly have access during that time. It also commits not to communicate such information to third party other than those entitled to have access to them for the purpose of executing a Purchase Order. The Service Provider undertakes to use such confidential information solely in order to perform the services entrusted to it, and for a period of 3 years following execution of a Purchase Order or the agreement’s end.

Any disclosures to third parties shall be subject to prior notice and, where applicable, prior consent. Independence : There is no a legal partnership or joint venture between the AGENCY and Service Provider which remains an independent contractor. The Service Provider declares not to be in a situation of economic dependency towards the AGENCY and will inform in writing the AGENCY should he fall under such economic dependency.
Social and Environmental Responsability : The Service Provider undertakes to comply with national, european and international applicable rules regarding ethical norms and responsible conducts, including and without limitation, norms about human rights, protection of the environment, sustainable development and active and passive corruption.
Jurisdiction: Purchase Orders and these GCP shall be subject to French law. In the event of litigation concerning the interpretation and/or performance of Purchase Orders, the Nanterre Commercial Court shall have sole jurisdiction.

Assignment Agreement
This Assignment Agreement (“Agreement”) is between CWT Global B.V. (“CWT” and/or “employer”) and the person executing this Agreement by “clicking to accept” it (“Undersigned” and/or “employee”) and thereby evidencing their intent to be bound by its terms, and is effective on a retroactive basis to 20 March 2020.
The Undersigned hereby irrevocably assigns to CWT all right, title, and interest in and to all intellectual property rights of the Undersigned developed in the course of the Undersigned’s work for CWT.
For Illinois residents, this Agreement does not apply to an invention for which no equipment, supplies, facility, or trade secret information of the employer was used and which was developed entirely on the employee's own time, unless (a) the invention relates (i) to the business of the employer, or (ii) to the employer's actual or demonstrably anticipated research or development, or (b) the invention results from any work performed by the employee for the employer.
For Minnesota residents, this Agreement does not apply to an invention for which no equipment, supplies, facility or trade secret information of the employer was used and which was developed entirely on the employee's own time, and (1) which does not relate (a) directly to the business of the employer or (b) to the employer's actual or demonstrably anticipated research or development, or (2) which does not result from any work performed by the employee for the employer.
The laws of the State of Illinois, United States of America, apply to this Agreement without giving effect to its conflicts of laws principles. Any dispute arising out of or related to this Agreement shall be resolved in the state or federal courts of Illinois and venued in Cook County, Illinois. The Undersigned hereby consents to the personal jurisdiction of such courts and waives all defenses that the forum is not convenient for the defense or presentation of the Undersigned’s case. This Agreement may be executed in counterparts and may be accepted and agreed to by means of “click to accept” electronic acceptance and may be evidenced by electronic copies of this Agreement. The Undersigned represents that sufficient consideration has been provided to the Undersigned for this Agreement and waives any right to receive additional remuneration for the assignment of rights under this Agreement.
